The scope of work encompasses the full lifecycle of electronic subsystem development, including schematic capture, printed circuit board (PCB) layout review, firmware-integrated hardware debugging, thermal management analysis, and compliance testing aligned with IEC 61000 and Colombian technical regulations (RETIE). The Electronics Engineer is expected to possess a minimum of eight (8) years of professional experience in mixed-signal and digital circuit design, with demonstrated proficiency in tools such as Altium Designer, MATLAB/Simulink, and National Instruments LabVIEW. A professional engineering license (Registro Calificado) issued by the Colombian Ministry of Science, Technology, and Innovation is a mandatory requirement for this Purchase Order.

• 4.1 – This Purchase Order constitutes a binding agreement between Andina Circuit Solutions S.A.S. (hereinafter "the Buyer") and TAE Ltda. (hereinafter "the Vendor") for the provision of Electronics Engineer services as described herein. All work shall be performed at the Buyer's facility in Colombia Bogotá unless otherwise agreed in writing.
• 4.2 – The Electronics Engineer assigned to this contract must hold a valid Registro Calificado issued by the Colombian Ministry of Science, Technology, and Innovation, and must present proof of professional liability insurance with a minimum coverage of COP 500,000,000.
• 4.3 – Payment shall be made in Colombian Pesos (COP) via electronic bank transfer (EFT) within thirty (30) calendar days from the date of invoice receipt, in accordance with the payment terms stated in this Purchase Order. Late payments shall accrue interest at the rate established by the Colombian Superintendencia Financiera.
• 4.4 – All intellectual property, design files, schematics, firmware code, and technical documentation produced during the engagement shall be the exclusive property of the Buyer. The Electronics Engineer and the Vendor shall execute a non-disclosure agreement (NDA) prior to commencing any work in Colombia Bogotá.
• 4.5 – The Vendor is responsible for all applicable Colombian labor, social security (Pensión, Salud, ARL), and tax obligations related to the Electronics Engineer personnel assigned to this project. The Buyer shall withhold applicable income tax (Renta) and IVA as mandated by the Colombian National Tax Authority (DIAN).
• 4.6 – The project timeline is estimated at fourteen (14) weeks from the date of commencement. Milestone deliverables shall be reviewed bi-weekly by the Buyer's project management team. Failure to meet agreed milestones without prior written justification may result in a reduction of up to 5% of the total contract value per affected milestone.
• 4.7 – This Purchase Order is governed by the commercial law of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through arbitration in Bogotá D.C., in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá.
• 4.8 – The Vendor shall comply with all applicable environmental, occupational health, and safety regulations in force in Colombia Bogotá, including those issued by the Secretaría Distrital de Ambiente and the Ministry of Labor.
