This Purchase Order is issued by SCIE to formally engage the services of a qualified Electronics Engineer for the design, supervision, and commissioning of critical electronic infrastructure systems within the Kinshasa metropolitan area. All services under this Purchase Order shall be performed at the designated project site located in DR Congo Kinshasa, specifically at the SCIE Matete Substation (GPS: 4°24'S, 15°22'E) and the SCIE headquarters at Avenue du Commerce, Zone Industrielle, Kinshasa. The Electronics Engineer shall comply with all local regulations of the Democratic Republic of the Congo regarding site access, safety protocols, and environmental compliance. The Electronics Engineer is expected to be physically present in DR Congo Kinshasa for a minimum of forty-five (45) working days during the active installation and commissioning phases. Travel, accommodation, and local transportation within Kinshasa shall be arranged and funded by SCIE as the procuring entity.
The Electronics Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Electrical or Electronics Engineering from an accredited institution, possess at least ten (10) years of progressive professional experience in power systems electronics, and maintain a valid professional engineering license. The Electronics Engineer must also demonstrate familiarity with the electrical infrastructure standards applicable in DR Congo Kinshasa and the broader Central African region. All work products must conform to IEC 61850, IEEE 1547, and the national electrical code of the Democratic Republic of the Congo. The Electronics Engineer shall provide proof of professional indemnity insurance with a minimum coverage of USD 500,000, valid throughout the project duration in DR Congo Kinshasa.
Payment for services rendered under this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the account designated by the Electronics Engineer. The payment schedule is structured as follows:

Payment terms are Net 30 days from the date of invoice acceptance by SCIE. Late payments shall accrue interest at a rate of 1.5% per month. All applicable taxes and duties under the tax code of the Democratic Republic of the Congo shall be the responsibility of the Electronics Engineer unless otherwise stipulated in this Purchase Order.
This Purchase Order is governed by the commercial laws of the Democratic Republic of the Congo. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the Arbitration Centre of the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires). The Electronics Engineer shall not subcontract any portion of the work described in this Purchase Order without prior written consent from SCIE. All intellectual property rights in designs, schematics, and documentation produced under this Purchase Order shall vest exclusively in SCIE upon full payment. The Electronics Engineer shall maintain strict confidentiality regarding all proprietary information, grid data, and security protocols encountered during the course of work in DR Congo Kinshasa. This Purchase Order shall remain in full force and effect until all obligations, including the warranty period, have been satisfactorily discharged. Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the other party, subject to the payment of all services rendered up to the date of termination.
This Purchase Order is executed in two (2) original copies, one for each party, and is effective upon the signature of both authorized representatives below.
