Description of Purchase Order — Scope of Services

This Purchase Order is formally issued by Nile Delta Electronics & Automation Co. to engage the services of a qualified Electronics Engineer for the design, prototyping, testing, and commissioning of industrial control systems. All professional services under this Purchase Order shall be performed primarily at the buyer's facility located in Egypt Cairo, with the possibility of on-site inspections at partner manufacturing plants in the Greater Cairo metropolitan area. The Electronics Engineer shall comply with all applicable Egyptian regulatory standards, including those set forth by the Egyptian Organization for Standardization and Quality (EOS) and the Ministry of Communications and Information Technology of Egypt.

Terms and Conditions of This Purchase Order
  1. Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Electronics Engineer. The supplier shall return a signed copy of this Purchase Order to the buyer's procurement department in Egypt Cairo within five (5) business days of receipt.
  2. Performance Period: The Electronics Engineer shall commence work no later than 1 July 2025 and shall complete all deliverables specified in this Purchase Order by 30 November 2025, unless otherwise agreed in writing by both parties.
  3. Location of Work: All on-site activities, including design reviews, prototyping, testing, and commissioning, shall take place at the buyer's premises in Egypt Cairo or at such other locations within the Greater Cairo region as mutually agreed. The Electronics Engineer is responsible for obtaining any necessary site access permits required by Egyptian local authorities.
  4. Payment Schedule: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon successful delivery and acceptance of all prototypes, and 30% upon final commissioning and handover of documentation. All payments shall be made via bank transfer to the account designated by the Electronics Engineer, in Egyptian Pounds, in accordance with the Central Bank of Egypt regulations.
  5. Intellectual Property: All designs, schematics, firmware, and documentation created by the Electronics Engineer under this Purchase Order shall become the exclusive property of Nile Delta Electronics & Automation Co. upon full payment. The Electronics Engineer retains the right to reference the project in professional portfolios, subject to a non-disclosure agreement covering proprietary specifications.
  6. Compliance and Standards: The Electronics Engineer warrants that all work shall conform to IEC 61131, IEC 61508, and applicable Egyptian national standards. The Electronics Engineer shall hold a valid professional engineering license issued by the Egyptian Engineers Syndicate and shall maintain professional liability insurance with a minimum coverage of EGP 2,000,000 for the duration of this Purchase Order.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Electronics Engineer shall be compensated for all work completed and accepted up to the date of termination, and shall deliver all interim deliverables and source files to the buyer in Egypt Cairo.
  8. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be submitted to arbitration in accordance with the rules of the Egyptian Arbitration Center, seated in Egypt Cairo. The governing law of this Purchase Order shall be the laws of the Arab Republic of Egypt.
  9. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, business information, and proprietary processes exchanged in the course of this Purchase Order. This obligation shall survive the termination or expiration of this Purchase Order for a period of three (3) years.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest affecting Egypt Cairo or the broader Egyptian territory.
