1. Scope and Standards: The Electronics Engineer engaged under this Purchase Order shall perform all duties in strict compliance with Ethiopian National Standards (ENS), IEC 61850 for power system communication, and applicable regulations issued by the Ethiopian Electric Utility (EEU) and the Energy Authority of Ethiopia. All deliverables must be completed within the Ethiopia Addis Ababa operational zone unless otherwise authorized in writing by the Buyer.
2. Acceptance and Inspection: Upon completion of each milestone, the Buyer shall have fourteen (14) calendar days to inspect and accept the work. Rejection must be communicated in writing with specific reasons. The Electronics Engineer shall rectify any non-conformities at no additional cost within ten (10) business days of notification.
3. Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon successful commissioning and acceptance of the monitoring nodes, and 30% upon completion of the warranty period. All payments shall be made via bank transfer to the Seller's account at Commercial Bank of Ethiopia, Addis Ababa branch.
4. Intellectual Property: All designs, schematics, firmware code, and documentation produced by the Electronics Engineer under this Purchase Order shall become the exclusive property of EthioTech Solutions PLC upon full payment. The Seller retains the right to reference the project in portfolio materials with prior written consent.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, proprietary information, and operational details exchanged in connection with this Purchase Order. This obligation shall survive termination of the agreement for a period of three (3) years.
6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest in Ethiopia Addis Ababa. Affected parties must notify the other within 48 hours of the occurrence.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Ethiopian Arbitration and Conciliation Centre in Addis Ababa. The language of arbitration shall be English.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Federal Democratic Republic of Ethiopia and applicable commercial regulations.
