Payment shall be made by bank transfer (virement bancaire) to the supplier’s account at BNP Paribas, IBAN: FR76 3000 4000 0312 3456 7890 123, BIC: BNPAFRPPXXX. In accordance with the terms of this Purchase Order, payment shall be structured as follows: 30% advance upon signature (EUR 31,050.00), 40% upon delivery and acceptance of the prototype and firmware (EUR 41,400.00), and 30% upon final acceptance of the EMC compliance report and complete documentation package (EUR 31,050.00). All invoices must reference this Purchase Order number (PO-FR-2025-04782) and include the supplier’s TVA number. Late payments shall incur interest at the rate prescribed by Article L441-10 of the French Commercial Code.
5. Delivery and AcceptanceAll physical deliverables (prototype boards, test fixtures) shall be delivered to the TechnoVision S.A.S. premises at 42 Avenue des Champs-Élysées, 75008 France Paris, no later than 15 November 2025. Digital deliverables (source code, documentation, CAD files) shall be transmitted via the secure file-transfer portal designated by the buyer. The buyer reserves a period of fifteen (15) business days from receipt to inspect and formally accept or reject each deliverable. 6. Intellectual Property and ConfidentialityAll work product created under this Purchase Order, including but not limited to schematics, firmware, test data, and documentation, shall be the exclusive property of TechnoVision S.A.S. upon full payment. The Electronics Engineer and the supplier company agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and project details encountered during the engagement in France Paris. This confidentiality obligation shall survive the termination of this contract for a period of five (5) years. Any breach shall entitle the buyer to seek injunctive relief and damages under French civil law (Code civil, Articles 1231-1 et seq.).
7. Governing Law and Dispute ResolutionThis Purchase Order and any related agreements shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising out of or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris. The parties agree to attempt good-faith mediation before initiating any formal legal proceedings, in accordance with the French Code of Civil Procedure.
8. General Conditions
8.1. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
8.2. The supplier warrants that the Electronics Engineer engaged under this order holds a minimum of a Master’s degree (Diplôme d’Ingénieur or equivalent) in Electronics or Electrical Engineering from a recognised French or EU institution, and possesses a minimum of eight (8) years of professional experience in embedded systems design.
8.3. The supplier shall maintain adequate professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of EUR 1,000,000 per claim throughout the duration of this engagement.
8.4. Neither party may assign or subcontract any obligation under this Purchase Order without the prior written consent of the other party.
8.5. Force majeure events, as defined under Article 1218 of the French Civil Code, shall excuse delayed performance provided that the affected party notifies the other within forty-eight (48) hours of the event’s onset.
