2. Scope of Purchase Order
This Purchase Order is issued by TechnologieWerk Berlin GmbH (hereinafter referred to as "the Buyer") to ElectroPrecision Engineering GmbH (hereinafter referred to as "the Supplier") for the professional engagement of a qualified Electronics Engineer to provide specialized technical services, design consultancy, and hardware development support for the Buyer's ongoing product development programme. All services under this Purchase Order shall be performed at the Buyer's primary facility located in Germany Berlin, specifically at Industriestraße 42, 10115 Berlin, unless otherwise agreed in writing by both parties. The Electronics Engineer engaged under this Purchase Order shall comply with all applicable German federal and state regulations, including but not limited to the German Works Constitution Act (Betriebsverfassungsgesetz), the German Occupational Safety and Health Act (Arbeitsschutzgesetz), and all relevant DIN and VDE standards governing electronic engineering practice in Germany Berlin.

4. Delivery Schedule and Location
All services and deliverables specified in this Purchase Order shall commence on 01 July 2025 and shall be completed no later than 30 September 2025. The Electronics Engineer assigned to this Purchase Order shall report to the Buyer's engineering department at the following location in Germany Berlin: TechnologieWerk Berlin GmbH, Industriestraße 42, 10115 Berlin, Germany. Working hours shall be Monday through Friday, 08:00 to 17:00 CET, in accordance with standard German working conventions. Any work performed outside of these hours or on public holidays (Feiertage) in the state of Berlin shall be compensated at 1.5 times the applicable hourly rate as defined in this Purchase Order.
5. Payment Terms
Payment for all services rendered under this Purchase Order shall be made via SEPA bank transfer to the IBAN specified in Section 1. The Buyer shall issue invoices on a monthly basis, and payment shall be due within thirty (30) calendar days from the date of invoice receipt. Late payments shall incur interest at the statutory rate of 8 percentage points above the European Central Bank (ECB) reference rate, in accordance with Section 288 of the German Civil Code (BGB). The Supplier shall include the Purchase Order number PO-BER-2025-04871 on all corresponding invoices to ensure proper accounting reconciliation.
6. Terms and Conditions
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
- Intellectual Property: All work product, designs, schematics, firmware code, and documentation created by the Electronics Engineer in the course of fulfilling this Purchase Order shall be the sole and exclusive property of the Buyer. The Supplier hereby assigns all intellectual property rights to the Buyer upon full payment.
- Confidentiality: The Electronics Engineer shall be bound by a Non-Disclosure Agreement (NDA) in accordance with German trade secret law (Gesetz zum Schutz von Geschäftsgeheimnissen – GeschGehG). All technical data, proprietary information, and project details shared in Germany Berlin under this engagement are strictly confidential.
- Compliance: The Electronics Engineer shall comply with all applicable German and European Union regulations, including the EU General Data Protection Regulation (GDPR/DSGVO), the German Electrical Equipment Act (ProdSG), and all relevant CE marking requirements for electronic devices manufactured or tested in Germany Berlin.
- Subcontracting: The Supplier shall not subcontract any portion of the work described in this Purchase Order without prior written consent from the Buyer. Any approved subcontractor shall be subject to the same terms and conditions as set forth herein.
- Termination: Either party may terminate this Purchase Order with a written notice period of fourteen (14) calendar days. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- Warranty: The Supplier warrants that all deliverables under this Purchase Order shall be free from material defects for a period of twelve (12) months from the date of final acceptance. The Electronics Engineer shall correct any identified defects at no additional cost to the Buyer.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, war, or government-imposed restrictions affecting operations in Germany Berlin.
7. Acceptance and Authorization
This Purchase Order becomes effective upon signature by both parties. The Supplier's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and specifications outlined herein. The Electronics Engineer services described shall be deemed accepted only upon written confirmation by the Buyer's Chief Technology Officer or designated representative.
