• 3.1 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Frankfurt.
• 3.2 The Electronics Engineer engaged under this Purchase Order shall comply with all applicable German labor regulations, data protection laws (GDPR), and industry-specific safety standards in force in Germany Frankfurt at the time of service delivery.
• 3.3 Payment terms: Net 30 days from the date of invoice receipt. Invoices shall be submitted monthly by the 5th business day of the following month. Late payments shall accrue interest at the statutory rate under German commercial law (Handelsgesetzbuch).
• 3.4 The Supplier warrants that the Electronics Engineer assigned to this Purchase Order holds a minimum of a Master's degree in Electrical or Electronics Engineering from an accredited institution and possesses no fewer than eight (8) years of progressive professional experience in embedded systems and PCB design.
• 3.5 All intellectual property, designs, schematics, firmware code, and technical documentation produced by the Electronics Engineer in the course of fulfilling this Purchase Order shall be the sole property of Frankfurt Industrial Systems GmbH.
• 3.6 The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of EUR 2,000,000 for the duration of this Purchase Order, valid throughout Germany Frankfurt and the broader Hesse region.
• 3.7 Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the Supplier shall be compensated for all services rendered up to the effective date of termination.
• 3.8 The Electronics Engineer shall be required to attend all project review meetings, design verification sessions, and production line audits scheduled by the buyer at the Germany Frankfurt facility. A minimum of 40 hours per week of on-site presence is mandatory.
• 3.9 This Purchase Order becomes effective upon written acceptance by both parties. No modification or amendment to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both parties.
