This Purchase Order is issued by Meridian Technologies Pvt. Ltd. to procure the professional services of a qualified Electronics Engineer for the design, development, testing, and commissioning of embedded control systems for our industrial automation division. The Electronics Engineer shall perform all duties in accordance with the specifications outlined in Annexure A attached to this Purchase Order. All services shall be rendered within the jurisdiction of India Mumbai, and the Electronics Engineer shall comply with all applicable regulations of the Government of India, the Bureau of Indian Standards (BIS), and the Electrical Safety Organisation (ESO) as applicable to the state of Maharashtra.

- This Purchase Order constitutes a binding agreement between Meridian Technologies Pvt. Ltd. and the named Electronics Engineer upon signature by both parties. All terms herein shall be governed by the laws of the Republic of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in India Mumbai.
- The Electronics Engineer warrants that all deliverables shall be free from design defects, shall conform to the specifications in Annexure A, and shall not infringe upon any third-party intellectual property rights. All intellectual property created under this Purchase Order shall vest exclusively with the buyer upon full payment.
- Payment shall be made via NEFT/RTGS to the bank account designated by the Electronics Engineer within thirty (30) days of receipt of a valid tax invoice. The buyer reserves the right to withhold payment for any deliverable that fails to meet the acceptance criteria defined in this Purchase Order.
- The Electronics Engineer shall maintain professional indemnity insurance of not less than INR 50,00,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
- All work shall be performed in compliance with the Information Technology Act, 2000, the Indian Contract Act, 1872, and applicable labour and safety regulations in the state of Maharashtra, India Mumbai.
- Time is of the essence. Failure by the Electronics Engineer to meet the milestones outlined in Section 2 shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%. Delays caused by force majeure or by the buyer shall be excluded.
- The Electronics Engineer shall not subcontract any portion of the work without prior written consent from the buyer. Any approved subcontractor shall be bound by the same terms as this Purchase Order.
- Confidentiality: The Electronics Engineer shall treat all proprietary information, schematics, firmware source code, and business data of the buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- This Purchase Order may be amended only by a written addendum signed by both parties. No verbal modifications shall be valid.
- All communications regarding this Purchase Order shall be directed to the procurement department of Meridian Technologies Pvt. Ltd., BKC, India Mumbai, or to the Electronics Engineer at the address listed above.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Electronics Engineer in India Mumbai.
