This Purchase Order is issued by Tehran Advanced Electronics Manufacturing Co. to formally engage the services of a qualified Electronics Engineer for the design, prototyping, and validation of next-generation embedded control systems. - Payment Schedule: Payment for this Purchase Order shall be made in three equal installments: 30% upon signing, 40% upon delivery of the PCB prototype, and 30% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the Electronics Engineer's registered account in Iran Tehran.
- Timeline: The Electronics Engineer shall complete all phases within 90 calendar days from the date of this Purchase Order. Milestone deadlines are specified in Annex B.
- Intellectual Property: All designs, schematics, firmware code, and documentation produced under this Purchase Order shall become the exclusive property of Tehran Advanced Electronics Manufacturing Co. upon full payment. The Electronics Engineer retains the right to reference the project in a professional portfolio with prior written consent.
- Compliance: The Electronics Engineer warrants that all work shall conform to ISIRI 62368-1 and IEC 61000 series standards. Non-compliance discovered during acceptance testing shall be rectified at the Electronics Engineer's sole expense.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding proprietary circuit designs, manufacturing processes, and business strategies. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Islamic Republic of Iran. Any disputes shall be resolved through arbitration in Iran Tehran under the rules of the Tehran International Arbitration Center.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting electronics component supply in Iran Tehran, or national emergencies.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Electronics Engineer shall be compensated for all work completed and accepted up to the termination date.
