This Purchase Order is issued by the Levant Defense & Technology Authority to formally procure the professional services of a qualified Electronics Engineer to be deployed and executed within the jurisdiction of Israel Jerusalem. - Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. All disputes arising from the execution of this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Israel Jerusalem.
- Qualification Requirements: The Electronics Engineer assigned to fulfill the obligations under this Purchase Order must hold a valid license issued by the Israeli Engineers Association and possess a minimum of ten (10) years of professional experience in analog, digital, and mixed-signal circuit design. Proof of licensure specific to practice in Israel Jerusalem shall be submitted prior to commencement of work.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number. Invoices must be issued in New Israeli Shekels (ILS) and include the vendor's VAT registration number. Payment shall be processed via bank transfer to the account specified in Section 1.
- Work Location: All on-site services, testing, and training activities under this Purchase Order shall be performed at the designated facilities within Israel Jerusalem as communicated by the issuing authority. The Electronics Engineer is responsible for all travel and logistics within the Israel Jerusalem metropolitan area.
- Confidentiality and Security: Given the sensitive nature of certain deliverables, the Electronics Engineer and all subcontractors must sign a Non-Disclosure Agreement (NDA) compliant with Israeli data protection law (Privacy Protection Law, 5741-1981) prior to accessing any classified or proprietary materials at the Israel Jerusalem facility.
- Warranty and Liability: All designs, prototypes, and deliverables produced by the Electronics Engineer under this Purchase Order carry a warranty period of twenty-four (24) months from the date of final acceptance. The vendor shall be liable for any defects in workmanship or design that become apparent during the warranty period.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Electronics Engineer shall be compensated for all services rendered up to the effective date of termination, less any applicable penalties as defined herein.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-mandated closures affecting Israel Jerusalem.
- Compliance: The vendor warrants that the Electronics Engineer services provided under this Purchase Order shall comply with all applicable Israeli labor laws, occupational health and safety regulations, and the specific technical standards mandated for Electronics Engineer practice in Israel Jerusalem.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. The Electronics Engineer services described herein shall commence no earlier than the date of mutual signature and shall be executed in full compliance with the regulatory framework of Israel Jerusalem.
