This Purchase Order is issued by Merav Technologies Ltd. to procure the professional services of a qualified Electronics Engineer from Nefesh Engineering Solutions Ltd. The Electronics Engineer shall be engaged to design, prototype, test, and validate a next-generation embedded control system for an industrial automation platform. All work shall be performed in accordance with the technical specifications outlined in Annex A (attached separately) and shall comply with all applicable Israeli standards, including those set forth by the Standards Institution of Israel (SII) and the Israel Standards Organization (ISO). The Electronics Engineer is expected to be physically present at the Buyer's facility in Tel Aviv, Israel, for a minimum of four (4) days per week during the active project phase, with remote collaboration permitted on the remaining day.

1. Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
2. Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of prototype validation, and 30% upon final acceptance and delivery of all deliverables. All payments shall be made via bank transfer to the Supplier's account in Israel Tel Aviv.
3. Intellectual Property: All designs, schematics, firmware code, and documentation produced by the Electronics Engineer under this Purchase Order shall be the exclusive property of Merav Technologies Ltd. upon full payment. The Supplier grants no license to use, reproduce, or distribute such materials for any third party.
4. Confidentiality: The Electronics Engineer and all personnel assigned to this project shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed by the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
5. Delivery and Acceptance: All deliverables, including but not limited to final PCB layouts, firmware binaries, test reports, and technical documentation, shall be delivered to the Buyer's premises in Tel Aviv, Israel. The Buyer shall have fourteen (14) calendar days from the date of delivery to inspect and accept or reject the deliverables in writing.
6. Warranties: The Supplier warrants that the Electronics Engineer services shall be performed in a professional and workmanlike manner, in compliance with all applicable Israeli engineering standards and regulations. The Supplier provides a twelve (12) month warranty on all design deliverables against defects in workmanship.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Supplier shall deliver all work-in-progress materials to the Buyer.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest in Israel Tel Aviv or the surrounding region.
