This Purchase Order is issued by TechNova Solutions S.r.l. to formally engage the services of a qualified Electronics Engineer for the design, prototyping, and validation of next-generation embedded control systems. The Electronics Engineer shall perform all professional duties in accordance with the technical specifications outlined in Annex A of this Purchase Order and shall operate primarily from the buyer's premises located in Italy Milan, with the possibility of limited remote work as mutually agreed upon in writing.
The scope of work encompasses the complete electronic design lifecycle, including but not limited to: schematic capture, printed circuit board (PCB) layout design, firmware integration, signal integrity analysis, electromagnetic compatibility (EMC) testing, and final product validation. The Electronics Engineer is expected to hold a minimum of eight (8) years of professional experience in industrial electronics and to be registered with the Italian Order of Engineers (Ordine degli Ingegneri della Provincia di Milano).

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Milan, Italy.
- Place of Performance: All services described herein shall be rendered at the buyer's facility in Italy Milan unless otherwise specified. The Electronics Engineer shall comply with all site safety regulations and access protocols established by TechNova Solutions S.r.l. in Milan.
- Intellectual Property: All designs, schematics, firmware code, PCB layouts, and technical documentation produced under this Purchase Order shall be the exclusive property of TechNova Solutions S.r.l. The Electronics Engineer hereby assigns all intellectual property rights upon full payment.
- Confidentiality: The Electronics Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data encountered during the performance of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Quality Assurance: All deliverables must meet the specifications defined in Annex A. The buyer reserves the right to reject non-conforming work. The Electronics Engineer shall rectify any deficiencies at no additional cost within ten (10) business days of written notice.
- Payment Schedule: Invoices shall be submitted monthly. Payment shall be made within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by Italian law (Legge 192/2005).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date.
- Insurance: The Electronics Engineer shall maintain professional liability insurance with a minimum coverage of €1,000,000 per occurrence, valid throughout the duration of this Purchase Order in Italy Milan.
- Compliance: The Electronics Engineer warrants that all work shall comply with applicable Italian and European Union directives, including but not limited to the Low Voltage Directive (2014/35/EU) and the Electromagnetic Compatibility Directive (2014/30/EU).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Milan metropolitan area.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Electronics Engineer services in Italy Milan.
