This Purchase Order is issued by MedTech Innovations S.r.l., headquartered in Italy Naples, to formally request and authorize the procurement of specialized professional services rendered by a qualified Electronics Engineer. 1. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the competent courts of Italy Naples, Campania region. Both parties acknowledge that the services described herein are to be performed primarily within the city of Naples and its immediate metropolitan area.
2. Payment Terms: Payment shall be made via bank transfer (bonifico bancario) to the account designated by the Supplier. A 30% advance payment (€6,639.24) is due upon signature of this Purchase Order. The remaining 70% (€15,491.56) shall be payable within thirty (30) calendar days of final delivery and written acceptance of all deliverables by the Buyer. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Italian commercial law.
3. Professional Qualifications: The Supplier, acting as the designated Electronics Engineer, warrants that she holds a valid professional registration with the Ordine degli Ingegneri della Provincia di Napoli and possesses a minimum of twelve (12) years of professional experience in electronics design, embedded systems, and medical device engineering. The Supplier shall maintain all necessary professional liability insurance coverage throughout the term of this engagement.
4. Intellectual Property: All designs, schematics, code, documentation, and intellectual property created specifically for the Buyer under this Purchase Order shall become the exclusive property of MedTech Innovations S.r.l. upon full payment. The Electronics Engineer retains the right to reference the project in a general, non-identifiable manner for portfolio purposes, subject to the Buyer's prior written consent.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and proprietary information exchanged in the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. The Electronics Engineer shall not disclose any project-specific information to third parties without the express written authorization of the Buyer.
6. Delivery Schedule: All deliverables shall be completed within a maximum period of twelve (12) weeks from the date of this Purchase Order. The Electronics Engineer shall provide bi-weekly progress reports to the Buyer's project manager. Any anticipated delays must be communicated in writing at least five (5) business days in advance.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Electronics Engineer shall deliver all work-in-progress materials and documentation to the Buyer within ten (10) business days of the termination notice.
8. Health and Safety: All on-site work performed at the Buyer's premises in Italy Naples shall comply with Italian occupational health and safety regulations (D.Lgs. 81/2008). The Electronics Engineer shall adhere to all site-specific safety protocols established by MedTech Innovations S.r.l.
Acceptance and SignaturesBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Electronics Engineer professional services to be executed in Italy Naples. This document is executed in two (2) original copies, one for each party.
