Terms & Conditions of this Purchase Order

Scope of Engagement: The Electronics Engineer(s) engaged under this Purchase Order shall perform all duties in accordance with the technical specifications annexed to this document. All work shall be executed at the supplier's facility located in Italy Rome, unless otherwise agreed in writing.
Delivery & Location: All equipment, components, and deliverables referenced in this Purchase Order shall be delivered to the address in Rome, Italy specified in the Bill To section. Delivery within the Rome metropolitan area is included in the quoted price. Any delivery outside the Lazio region shall incur additional freight charges at cost.
Payment Terms: Payment shall be made within 60 days of receipt of a valid invoice. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be settled in two equal installments: 50% upon completion of the Electronics Engineer's mid-project review (Month 6) and 50% upon final acceptance of all deliverables. All transactions shall be processed in EUR via bank transfer to the supplier's Italian bank account.
Intellectual Property: All designs, schematics, firmware, and documentation produced by the Electronics Engineer under this Purchase Order shall become the exclusive property of Tecnologie Elettroniche Roma S.r.l. upon full payment. The supplier warrants that no third-party IP is infringed.
Compliance & Standards: The Electronics Engineer shall ensure all designs comply with applicable Italian and European regulations, including but not limited to the Italian Legislative Decree 46/1997 (Electrical Safety), EU Directive 2014/30/EU (EMC), and Directive 2011/65/EU (RoHS). Testing shall be conducted at an accredited laboratory in Italy Rome or as mutually agreed.
Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and business information exchanged in connection with this Purchase Order. This obligation survives termination for a period of five (5) years.
Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Electronics Engineer shall deliver all work-in-progress materials and documentation to the buyer in Rome, Italy, and the buyer shall compensate for work completed up to the termination date.
Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts of Rome, Italy.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or supply-chain disruptions affecting the Italy Rome region.
Acceptance: This Purchase Order becomes binding upon written signature by both parties. The supplier's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and specifications herein.
