1. Scope of Purchase OrderThis Purchase Order is issued by Kinki Advanced Technologies Co., Ltd. to procure the professional services of a qualified Electronics Engineer to be deployed at our primary research and development facility located in Japan Osaka. The Electronics Engineer shall be responsible for the design, prototyping, testing, and validation of next-generation embedded control systems for our industrial automation product line. This Purchase Order governs all terms, conditions, deliverables, and payment obligations associated with the engagement of the Electronics Engineer in the Japan Osaka operational area.

3.1 This Purchase Order is subject to the standard commercial terms of Kinki Advanced Technologies Co., Ltd. and the applicable labor and professional services regulations of Japan Osaka Prefecture.
3.2 The Electronics Engineer engaged under this Purchase Order must hold a valid JSAI (Japan Society of Applied Intelligence) Electronics Engineer certification at Grade 1 or equivalent, and must demonstrate a minimum of eight (8) years of professional experience in analog and digital circuit design.
3.3 All work performed by the Electronics Engineer shall take place at the designated Japan Osaka facility unless prior written approval is granted by the Procurement Manager. Remote work from within the Japan Osaka metropolitan area is permissible for up to two (2) days per week.
3.4 The vendor shall ensure that the Electronics Engineer complies with all intellectual property protection policies, confidentiality agreements, and data security protocols established by Kinki Advanced Technologies Co., Ltd. for the Japan Osaka site.
3.5 Payment shall be processed in monthly installments via bank transfer to the account specified by the vendor. Invoices must reference this Purchase Order number (PO-JOS-2025-04871) and be submitted to the Japan Osaka accounts payable office by the 5th of each month.
3.6 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Electronics Engineer's final compensation shall be prorated based on actual days of service rendered in Japan Osaka.
3.7 Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Japan Commercial Arbitration Association, with the seat of arbitration in Japan Osaka.
