- Scope of Work: The Electronics Engineer shall perform all duties outlined in this Purchase Order exclusively at the buyer's facility in Japan Tokyo unless otherwise agreed in writing. The Electronics Engineer is expected to maintain a minimum on-site presence of five (5) days per week during the active project phase.
- Timeline: The Electronics Engineer shall commence work on July 1, 2025, and complete all deliverables no later than September 30, 2025. Milestone payments are tied to the successful completion of each line item as verified by the buyer's project manager in Japan Tokyo.
- Payment Terms: Payment shall be made via bank transfer to the account specified by the Electronics Engineer within thirty (30) days of invoice receipt. A 20% advance payment is due upon acceptance of this Purchase Order. The remaining 80% shall be disbursed in three equal milestone installments.
- Intellectual Property: All designs, schematics, firmware code, and documentation produced by the Electronics Engineer under this Purchase Order shall become the sole property of Shinano Precision Technologies K.K. upon full payment. The Electronics Engineer grants an irrevocable, perpetual license to the buyer for all work product.
- Compliance: The Electronics Engineer shall comply with all applicable laws and regulations of Japan, including the Electrical Appliance and Material Safety Law (DENAN), the Radio Act, and local ordinances governing electronic equipment in Japan Tokyo.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and proprietary information exchanged in connection with this Purchase Order. This obligation survives termination of the engagement for a period of five (5) years.
- Warranty: The Electronics Engineer warrants that all deliverables shall be free from design defects for a period of twelve (12) months from the date of final acceptance. Any defects discovered within this warranty period shall be corrected at no additional cost to the buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered and materials procured up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association (JCAA).
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government actions, or other events beyond reasonable control, including but not limited to typhoons affecting the Japan Tokyo metropolitan area.
