All items listed in this Purchase Order must meet the technical specifications outlined in Appendix A (attached separately) and comply with the national standards of the Republic of Kazakhstan (GOST KZ) as well as applicable IEC and ISO international standards.

4.1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature. All equipment must be new, unused, and accompanied by original manufacturer warranties of no less than twenty-four (24) months.

4.2. Delivery shall be made to the Buyer's premises in Kazakhstan Almaty, 45 Abai Avenue, no later than 05 July 2025. The Supplier is responsible for all transportation, insurance, and customs clearance within the territory of Kazakhstan. Any delays beyond the stipulated delivery date will incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.

4.3. The Supplier shall assign a qualified Electronics Engineer or authorized technical representative to perform on-site installation, calibration, and a comprehensive handover training session for the Buyer's Electronics Engineer team. Training shall cover operation, basic troubleshooting, and safety procedures for each instrument listed in Section 2.

4.4. Payment shall be made via bank transfer to the Supplier's designated account in KZT within thirty (30) calendar days of receipt of a valid VAT invoice and a signed delivery-acceptance certificate. Late payments by the Buyer shall accrue interest at the rate of 0.1% per day.

4.5. All equipment must comply with the technical regulations of the Republic of Kazakhstan and carry the mandatory EAC (Eurasian Conformity) marking. The Supplier warrants that all items are free from defects in materials and workmanship.

4.6. The Buyer reserves the right to inspect and test all delivered items within ten (10) business days of receipt. Any non-conforming items must be replaced or repaired by the Supplier at no additional cost within fifteen (15) business days.

4.7. This Purchase Order is governed by the Civil Code of the Republic of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved through negotiation, and failing that, by the Arbitration Court of Almaty, Kazakhstan.

4.8. The Supplier shall maintain full confidentiality regarding the Buyer's proprietary designs, project specifications, and operational data encountered during the installation and training phases in Kazakhstan Almaty.

This Purchase Order (PO-ALM-2025-04872) is valid for a period of sixteen (16) calendar days from the date of issue. After the expiry date, the Supplier must confirm in writing that the pricing and availability of all listed items remain unchanged. The Electronics Engineer designated by the Buyer to oversee receipt and commissioning is Mr. Yerzhan Kairat, Senior Electronics Engineer, R&D Division, Almaty, Kazakhstan.
