This Purchase Order is issued by East African Circuit Solutions Ltd. to procure the professional services of a qualified Electronics Engineer for the design, prototyping, and commissioning of industrial control systems at our manufacturing facility located in Kenya Nairobi. The Electronics Engineer shall be responsible for all technical deliverables as outlined below.

3.1 This Purchase Order constitutes a binding agreement between East African Circuit Solutions Ltd. (hereinafter "the Buyer") and the named Electronics Engineer (hereinafter "the Vendor") for the procurement of professional engineering services and associated materials.
3.2 All work shall be performed in accordance with the standards set by the Kenya Bureau of Standards (KEBS) and the International Electrotechnical Commission (IEC) guidelines applicable to industrial electronics in Kenya Nairobi and the broader Kenyan jurisdiction.
3.3 The Electronics Engineer shall maintain valid professional indemnity insurance with a minimum cover of KES 5,000,000 throughout the duration of this Purchase Order.
3.4 Payment shall be made in two (2) tranches: 40% upon acceptance of the design and schematic deliverables, and 60% upon successful commissioning and sign-off at the Kenya Nairobi facility. Payment shall be processed via bank transfer to the account specified in Section 1.
3.5 The Vendor shall comply with all applicable Kenyan labour laws, tax obligations (including PAYE and NSSF where applicable), and the regulations of the Kenya Engineering and Petroleum Products Authority (KEPPE).
3.6 Any changes to the scope of work must be documented in a formal variation order signed by both parties before execution. No additional charges will be accepted without prior written approval under this Purchase Order.
3.7 The Electronics Engineer warrants that all intellectual property, designs, firmware, and documentation produced under this Purchase Order shall be the exclusive property of the Buyer upon full payment.
3.8 Disputes arising from this Purchase Order shall be resolved through mediation in Kenya Nairobi in accordance with the Arbitration Act, Cap 49 of the Laws of Kenya, before escalation to the High Court of Kenya at Milimani Law Courts, Kenya Nairobi.
3.9 The Vendor shall not subcontract any portion of the engineering work without the prior written consent of the Buyer. Any approved subcontractor must hold equivalent qualifications as a registered Electronics Engineer in Kenya.
3.10 This Purchase Order is governed by the laws of the Republic of Kenya. All notices shall be delivered in writing to the addresses specified above in Kenya Nairobi.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Electronics Engineer for the project located in Kenya Nairobi.
