- This Purchase Order is issued by Meridian Technology Solutions Sdn. Bhd. and constitutes a binding agreement upon acceptance by the supplier. All services and equipment described herein are intended to support the deployment and operational capacity of our Electronics Engineer team based in Malaysia Kuala Lumpur.
- Payment terms: 30% advance payment upon acceptance of this Purchase Order, 40% upon delivery and installation of all hardware and software items, and the remaining 30% upon successful completion of the 6-month Electronics Engineer contract period and final acceptance sign-off.
- All payments shall be made via bank transfer to the account specified above. Invoices must reference this Purchase Order number (PO-ML-2025-00847) for processing. Late payments shall incur interest at 2% per month as per Malaysian commercial practice.
- The Electronics Engineer personnel assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Electronics Engineering or equivalent, with a minimum of 5 years (Senior) or 3 years (Mid-level) of relevant industry experience. All personnel must be legally permitted to work in Malaysia Kuala Lumpur and comply with the Employment Act 1955.
- Delivery of all physical goods (oscilloscopes, thermal camera, PCB prototypes) shall be made to our facility at Menara Maxis, Malaysia Kuala Lumpur, no later than 30 July 2025. Risk of loss transfers to the buyer upon signed delivery receipt.
- The supplier warrants that all equipment supplied is new, unused, and free from defects. A minimum 12-month warranty applies to all hardware items. The Electronics Engineer services are warranted to be performed in a professional and workmanlike manner in accordance with industry standards applicable in Malaysia Kuala Lumpur.
- Any changes to the scope, quantity, or specifications of this Purchase Order must be made in writing and signed by both parties. Verbal modifications are not valid. The Electronics Engineer team's scope of work may be adjusted by mutual written agreement.
- This Purchase Order is governed by the laws of Malaysia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Malaysia Kuala Lumpur in accordance with the Arbitration Act 2005.
- The supplier shall maintain full confidentiality of all proprietary designs, schematics, and technical data handled by the Electronics Engineer team. A Non-Disclosure Agreement (NDA) is attached as Appendix A to this Purchase Order.
- This Purchase Order is valid for acceptance until 15 August 2025. Failure to accept by this date shall render this Purchase Order null and void without further notice.
