This Purchase Order is issued by Atlas Digital Solutions SARL, a technology integration firm headquartered in Morocco Casablanca, to formally procure the professional services of a qualified Electronics Engineer for the design, prototyping, and validation of a next-generation industrial control system. The scope of work for the Electronics Engineer encompasses the following deliverables: (a) schematic design and PCB layout for a 16-channel industrial sensor array; (b) firmware development for embedded microcontroller units operating at 3.3V logic levels; (c) signal integrity analysis and electromagnetic compatibility (EMC) testing in accordance with IEC 61000-4 standards; (d) preparation of technical documentation, including wiring diagrams, component BOMs, and test protocols; and (e) on-site commissioning and troubleshooting at the Buyer's manufacturing plant in Morocco Casablanca.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, specifically the Moroccan Commercial Code and applicable labor regulations pertaining to the engagement of a Electronics Engineer in the region of Morocco Casablanca.
- Payment Schedule: Payment shall be made in three equal installments of MAD 152,200.00 (inclusive of VAT), due at the completion of each two-month phase. Invoices shall be submitted to the Buyer's accounts payable department in Morocco Casablanca no later than five (5) business days following phase completion.
- Intellectual Property: All designs, schematics, firmware code, and technical documentation produced by the Electronics Engineer under this Purchase Order shall become the exclusive property of Atlas Digital Solutions SARL upon full payment. The Electronics Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work in Morocco Casablanca.
- Work Location and Hours: The Electronics Engineer shall report to the Buyer's premises at 45 Boulevard Mohammed V, Morocco Casablanca, Monday through Friday, 08:30 to 17:30, with a one-hour lunch break. Remote work is not authorized under this Purchase Order.
- Quality Assurance: All deliverables must meet the specifications outlined in Annex A attached to this Purchase Order. The Buyer reserves the right to reject non-conforming work, and the Electronics Engineer shall rectify deficiencies at no additional cost within ten (10) business days.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall compensate the Electronics Engineer for all work completed and approved up to the termination date.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within fifteen (15) days, the matter shall be referred to the competent commercial court in Morocco Casablanca.
- Compliance: The Electronics Engineer shall comply with all applicable Moroccan labor laws, occupational health and safety regulations, and data protection statutes in force in Morocco Casablanca throughout the engagement period.
By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of an Electronics Engineer in Morocco Casablanca. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
