- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be performed by a qualified Electronics Engineer or team of engineers under the direct supervision of the Lead Electronics Engineer, Dr. Thiri Win Aung.
- Delivery and on-site work shall be conducted at the Buyer's premises located in Myanmar Yangon, specifically at No. 45, 27th Street, Kamayut Township. The Supplier shall bear all travel and accommodation costs within Myanmar Yangon as part of the quoted prices.
- Payment shall be made in US Dollars (USD) via bank transfer to the Supplier's designated account within 30 days of receipt of a valid tax invoice. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
- The Electronics Engineer shall provide weekly progress reports to the Buyer's Procurement Manager. Any changes to scope, specifications, or timelines must be documented in a formal Change Order signed by both parties before implementation.
- All intellectual property, design files, firmware source code, and technical documentation produced under this Purchase Order shall become the sole property of the Buyer upon full payment. The Supplier shall not reuse, replicate, or disclose any proprietary designs to third parties without written consent.
- The Supplier warrants that all components and materials used in the prototyping and fabrication phases shall be new, genuine, and sourced from authorized distributors. A minimum 12-month warranty is provided on all delivered hardware units.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the rules of the Myanmar Arbitration Centre in Myanmar Yangon.
- This Purchase Order is governed by the laws of the Republic of the Union of Myanmar. All regulatory filings, import permits, and compliance documentation related to the electronics engineering work shall be coordinated by the Supplier in accordance with Myanmar Yangon municipal and national regulations.
- The Supplier shall maintain adequate professional liability insurance coverage of no less than USD 100,000 for the duration of the project, with the Buyer named as an additional insured party.
