This Purchase Order is issued by Amsterdam Technical Solutions B.V. to CircuitPro Engineering Services N.V. for the professional engagement of a qualified Electronics Engineer to support the design, prototyping, and validation of next-generation embedded control systems. The Electronics Engineer engaged under this Purchase Order shall deliver the following milestones at the Netherlands Amsterdam site:
- Week 1–3: Completion of full schematic design and multi-layer PCB layout for the embedded motor-control unit, including component selection, thermal analysis, and signal-integrity simulation. All design files shall be delivered in Altium Designer format.
- Week 4–6: Firmware development in C/C++ for the STM32H7 microcontroller platform, including real-time operating system (RTOS) task scheduling, sensor fusion algorithms, and CAN-bus communication protocols.
- Week 7–8: Hardware-in-the-Loop (HIL) testing using dSPACE or NI PXI platforms. The Electronics Engineer shall document all test cases, pass/fail criteria, and anomaly reports.
- Week 9–10: EMC/EMI pre-compliance and final compliance testing in accordance with EN 55032 (CISPR 32) and EN 55035 (CISPR 35) standards, conducted in the shielded chamber at the Netherlands Amsterdam laboratory.
- Week 11–12: Final technical documentation package, including design rationale, test reports, bill of materials (BOM), assembly drawings, and a comprehensive handover report for the manufacturing team.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Amsterdam.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of a valid invoice, via SEPA bank transfer to the supplier's account. Invoices must reference Purchase Order number PO-2025-AM-0487.
- Intellectual Property: All work product, designs, firmware code, and documentation created by the Electronics Engineer in the course of fulfilling this Purchase Order shall be the sole and exclusive property of Amsterdam Technical Solutions B.V. The supplier warrants that no third-party IP rights are infringed.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and business information exchanged in connection with this Purchase Order. This obligation shall survive termination for a period of five (5) years.
- Quality Assurance: The Electronics Engineer shall adhere to ISO 9001:2015 quality management practices. All deliverables must pass internal review before acceptance. Non-conforming work shall be rectified at the supplier's cost within five (5) business days.
- Health, Safety & Environment: All work performed at the Netherlands Amsterdam facility shall comply with Dutch occupational health and safety regulations (Arbowet) and EU REACH/RoHS directives for electronic components.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for all work completed and accepted up to the termination date.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures in the Netherlands.
This Purchase Order constitutes a binding offer for the services described herein. By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this document. The engagement of the Electronics Engineer shall commence on 1 July 2025 at the Netherlands Amsterdam site, subject to mutual confirmation of resource availability.
