This Purchase Order is issued by Meridian Technical Solutions Ltd to engage the services of a qualified Electronics Engineer for the design, prototyping, testing, and commissioning of a next-generation industrial sensor array system. The Electronics Engineer shall perform all duties in accordance with the New Zealand Electrical Code of Practice (AS/NZS 3000) and all applicable regulations administered by the Electrical Workers Registration Board (EWRB) in New Zealand Wellington. The Electronics Engineer is expected to maintain full professional indemnity insurance with a minimum cover of NZD 5,000,000 throughout the duration of this engagement.

4.1 This Purchase Order is governed by the laws of New Zealand and shall be interpreted in accordance with the Contract and Commercial Law Act 2014. Any disputes arising from this Purchase Order shall be resolved through mediation in New Zealand Wellington prior to any litigation in the District Court of Wellington.
4.2 The Electronics Engineer shall comply with all health and safety obligations under the Health and Safety at Work Act 2015 (NZ). The Electronics Engineer must hold a valid Working for Others (WFO) certificate and shall present it prior to commencing on-site work at any Meridian Technical Solutions facility in New Zealand Wellington.
4.3 All intellectual property, designs, schematics, firmware code, and documentation produced by the Electronics Engineer under this Purchase Order shall become the sole property of Meridian Technical Solutions Ltd upon full payment. The Electronics Engineer shall sign a non-disclosure agreement (NDA) prior to receiving any proprietary project data.
4.4 Payment shall be made via bank transfer to the account nominated by the Electronics Engineer within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Interest on Debts Act 1997 (NZ).
4.5 The Electronics Engineer warrants that all work shall be performed in a professional and workmanlike manner, in accordance with the standards of the Institution of Professional Engineers New Zealand (IPENZ) and the relevant Australian/New Zealand Standards for electronic equipment.
4.6 Cancellation: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of cancellation by Meridian Technical Solutions, the Electronics Engineer shall be compensated for all work completed and non-cancellable commitments made up to the date of termination.
4.7 The Electronics Engineer shall not subcontract any portion of the work described in this Purchase Order without prior written consent from Meridian Technical Solutions Ltd.
5. Delivery and Commencement5.1 Commencement Date: 1 July 2025. The Electronics Engineer shall report to the Meridian Technical Solutions office at 142 Cuba Street, Te Aro, New Zealand Wellington, at 09:00 on the commencement date.
5.2 Project Milestones:
- Design Freeze and Schematic Approval: 15 July 2025
- Prototype Units Delivered for Testing: 1 August 2025
- EMC/EMI Compliance Report Submitted: 15 August 2025
- Final Handover and Documentation Package: 30 August 2025
5.3 All deliverables shall be submitted in both digital (PDF and native CAD files) and hard-copy format. Hard copies shall be delivered to the New Zealand Wellington office address listed in the header of this Purchase Order.
6. Authorisation and AcceptanceBy signing below, both parties acknowledge and agree to the terms, conditions, scope of work, and pricing set out in this Purchase Order. This Purchase Order constitutes a binding agreement between Meridian Technical Solutions Ltd and the Electronics Engineer named herein.
