This Purchase Order is issued by Capital Technologies & Infrastructure Solutions (CTIS) Pvt. Payment against this Purchase Order shall be made in three (3) milestones: (a) 30% advance upon acceptance of this Purchase Order; (b) 50% upon successful delivery and acceptance of all prototypes and firmware; (c) 20% upon completion of on-site commissioning in Pakistan Islamabad and handover of final documentation. All payments shall be processed via bank transfer to the account specified in Section 2. Invoices must reference Purchase Order No. PO-PIE-2025-04782.

The Electronics Engineer shall commence work within seven (7) calendar days of the issue date of this Purchase Order. The complete project, including all deliverables listed in Section 4, shall be completed no later than 15 November 2025. All on-site activities, including commissioning and training, shall be conducted at the CTIS facility located in Blue Area, Pakistan Islamabad. Any delay beyond the stipulated timeline shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10%.

7.1. This Purchase Order is governed by the laws of the Islamic Republic of Pakistan, and any disputes shall be resolved through arbitration in Pakistan Islamabad in accordance with the Arbitration Act, 1940.

7.2. The Electronics Engineer warrants that all designs, firmware, and documentation delivered under this Purchase Order shall be original, free from intellectual property infringement, and compliant with Pakistan Engineering Council (PEC) professional standards.

7.3. The Electronics Engineer shall maintain professional indemnity insurance with a minimum coverage of PKR 10,000,000 for the duration of this Purchase Order.

7.4. CTIS reserves the right to inspect and audit all work-in-progress at its Pakistan Islamabad facility or at the Electronics Engineer's registered office in F-7 Markaz, Pakistan Islamabad, upon 48 hours' written notice.

7.5. Confidentiality: All technical data, schematics, and project information exchanged under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from CTIS.

7.6. This Purchase Order shall remain valid until 15 September 2025. If not accepted and signed by the Electronics Engineer within this period, it shall automatically lapse.

7.7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in Pakistan Islamabad, or national emergencies.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Electronics Engineer in Pakistan Islamabad.
