3.1 This Purchase Order constitutes a binding agreement between Al-Madina Electronics & Telecommunications Ltd. (hereinafter "the Buyer") and the named Electronics Engineer (hereinafter "the Vendor") for the provision of professional engineering services in Pakistan Karachi. Both parties agree to be bound by the terms set forth herein and by the applicable laws of the Islamic Republic of Pakistan.
3.2 The Electronics Engineer shall hold a valid registration with the Pakistan Engineering Council (PEC) and shall maintain professional indemnity insurance with a minimum coverage of PKR 10,000,000 throughout the duration of this engagement. Proof of registration and insurance shall be submitted prior to commencement of work.
3.3 All work shall be performed at the Buyer's premises located in Korangi Industrial Area, Pakistan Karachi, unless otherwise agreed in writing. The Electronics Engineer shall comply with all site safety regulations, Sindh Occupational Health and Safety rules, and factory by-laws applicable in Karachi.
3.4 Payment shall be made in three milestones: 30% upon acceptance of this Purchase Order, 40% upon successful prototype testing, and 30% upon final commissioning and handover. All payments shall be processed via bank transfer to the Vendor's designated account in a Pakistani commercial bank.
3.5 The Electronics Engineer shall deliver all intellectual property, source code, design files, and documentation to the Buyer upon final payment. The Vendor shall not retain copies of proprietary designs developed under this Purchase Order.
3.6 In the event of a dispute, both parties agree to first attempt resolution through mediation in Karachi. If unresolved within 30 days, the matter shall be referred to the competent court of law in Karachi, Sindh, Pakistan.
3.7 The Vendor shall not subcontract any portion of the work without prior written consent from the Buyer. Any unauthorized subcontracting shall render this Purchase Order void at the Buyer's discretion.
Note: This Purchase Order is subject to the Federal Procurement Rules 2020 (FPPRA) and the Sindh Industrial Development Authority (SIDA) guidelines for professional services procurement in Pakistan Karachi. The Electronics Engineer's services are classified under Category 4 (Professional & Technical Services) for tax and regulatory purposes.By signing below, both parties acknowledge and accept all terms, conditions, and scope of work outlined in this Purchase Order for the engagement of an Electronics Engineer in Pakistan Karachi.
