- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Electronics Engineer. The supplier must return a signed copy of this Purchase Order to Savanna Circuit Technologies within five (5) business days of receipt.
- Commencement Date: The Electronics Engineer shall commence work no later than 1 July 2025. All on-site activities in South Africa Johannesburg shall be scheduled in coordination with the client's production planning department.
- Completion Date: All deliverables, including final documentation and commissioning, must be completed by 30 September 2025. The six-month warranty period shall commence upon the date of final sign-off.
- Payment Schedule: Payment shall be made in three (3) instalments: 30% upon acceptance of this Purchase Order, 40% upon successful completion of prototype testing (Line Item 02), and 30% upon final commissioning and handover. All payments shall be made via electronic funds transfer (EFT) to the supplier's registered bank account in South Africa.
- Compliance: The Electronics Engineer warrants that all designs and deliverables shall comply with the South African National Standards (SANS), the National Electrical Code of South Africa, and all applicable regulations enforced by the Department of Mineral Resources and Energy in the Gauteng Province, South Africa Johannesburg region.
- Intellectual Property: All schematics, PCB designs, firmware code, and documentation produced under this Purchase Order shall become the exclusive property of Savanna Circuit Technologies (Pty) Ltd upon full payment. The Electronics Engineer retains the right to reference the project in professional portfolios with prior written consent.
- Insurance and Liability: The Electronics Engineer shall maintain professional indemnity insurance of no less than ZAR 2 000 000 and public liability insurance of no less than ZAR 5 000 000 for the duration of the engagement. The supplier shall indemnify the client against any claims arising from negligence or professional misconduct while working at the South Africa Johannesburg site.
- Health and Safety: The Electronics Engineer shall comply with all Occupational Health and Safety Act (OHSA) requirements while on-site in Johannesburg. The supplier must present a valid medical certificate and site-specific safety induction prior to commencing on-site work at the Kempton Park facility.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the client shall pay for all services rendered up to the date of termination, and the Electronics Engineer shall deliver all work-in-progress documentation.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg.
- Confidentiality: The Electronics Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
