2. A minimum of five (5) years of professional experience in PCB design, embedded systems, or signal integrity analysis is required for the senior positions specified in Line Items 1 through 3.
3. All Electronics Engineer services shall be performed at the vendor's designated workspace in Gangnam-gu, South Korea Seoul, or at the buyer's R&D facility at 456 Gangnam-daero, Gangnam-gu, Seoul, South Korea, as mutually agreed upon in writing prior to commencement of work.
4. Delivery of all physical equipment (Line Items 4 through 7) shall be made to the buyer's South Korea Seoul facility no later than July 15, 2025. The vendor is responsible for all shipping, insurance, and customs clearance within South Korea. Any delays beyond the stipulated date will incur a penalty of 0.5% of the affected line item value per calendar day.
5. Payment shall be made via bank transfer to the vendor's designated account in South Korea within forty-five (45) calendar days from the date of invoice receipt, provided that all deliverables have been inspected and accepted by the buyer's project management team in South Korea Seoul.
6. The Electronics Engineer deliverables, including but not limited to schematics, layout files, firmware source code, test reports, and technical documentation, shall be the exclusive intellectual property of Seoul Electronics & Technology Solutions Co., Ltd. upon full payment. The vendor shall execute a non-disclosure agreement (NDA) prior to the commencement of any work related to this Purchase Order.
7. This Purchase Order is governed by the laws of the Republic of Korea. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Seoul, South Korea, in accordance with the rules of the Korean Commercial Arbitration Board (KCAB).
8. The vendor warrants that all Electronics Engineer personnel assigned to this Purchase Order shall comply with all applicable South Korean labor laws, occupational safety regulations, and data protection statutes (including the Personal Information Protection Act of South Korea) throughout the duration of the engagement.
9. This Purchase Order may be amended only by mutual written agreement of both parties. No oral modifications shall be valid or enforceable. All amendments must reference the original Purchase Order number PO-2025-SE-0847.
10. The vendor shall maintain professional liability insurance with a minimum coverage of KRW 500,000,000 for the duration of this Purchase Order and shall provide a certificate of insurance to the buyer upon request.
