This Purchase Order is issued by Iberia Circuit Solutions S.L. to TechNova Engineering Consultants S.L. for the provision of specialized Electronics Engineer professional services to be performed at the buyer’s facilities located in Spain Barcelona. - Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Barcelona, Spain.
- Payment Terms: Payment shall be made by bank transfer (SEPA) to the supplier’s designated account within 30 calendar days from the date of receipt of a valid invoice. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be invoiced in two equal milestones: 50% upon delivery of prototype units (Line Item 03) and 50% upon final acceptance of the complete handover package (Line Item 05).
- Performance Period: The Electronics Engineer services shall commence on 01 July 2025 and shall be completed no later than 30 September 2025, unless otherwise agreed in writing by both parties. The 60-day post-delivery support period (Line Item 06) shall begin upon written acceptance of the final deliverables.
- Work Location: All on-site activities, including technical review sessions, prototype testing, and support visits, shall take place at the buyer’s premises in Spain Barcelona (Carrer de la Marina, 142, 08005 Barcelona). The supplier shall ensure that the assigned Electronics Engineer holds a valid work authorization in Spain and complies with all applicable Spanish labour and social security regulations.
- Intellectual Property: All designs, schematics, layouts, firmware specifications, and documentation created under this Purchase Order shall be the exclusive property of Iberia Circuit Solutions S.L. upon full payment. The supplier grants no license to use, reproduce, or disclose such materials to any third party without prior written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and business information exchanged in the course of this Purchase Order. This obligation shall survive the termination or expiry of this Purchase Order for a period of five (5) years.
- Quality and Compliance: The Electronics Engineer shall ensure that all deliverables meet the specifications outlined in Annex A (attached separately) and comply with the applicable Spanish and EU standards for electronic equipment. Non-conforming deliverables shall be rectified at the supplier’s own cost within ten (10) business days of written notice.
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the buyer shall pay for all services satisfactorily rendered up to the effective date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics, provided that the affected party notifies the other within five (5) business days.
