The Electronics Engineer shall be responsible for ensuring that all circuit designs, firmware integration, and hardware validation activities comply with the applicable European Union directives, including but not limited to the Low Voltage Directive (2014/35/EU) and the Electromagnetic Compatibility Directive (2014/30/EU), as well as the specific regulatory requirements enforced by the Spanish Ministry of Industry, Trade and Tourism for electronic equipment manufactured and deployed within the territory of Spain Madrid and the broader national jurisdiction.

The Electronics Engineer engaged under this Purchase Order shall perform all duties at the designated work location in Spain Madrid, specifically at the TECHNOLOGÍA AVANZADA MADRID S.L. premises on Calle de Serrano 128. The Electronics Engineer is expected to produce all deliverables in accordance with the project timeline outlined in the attached Statement of Work (Annex A). All technical documentation, source code, and design files shall be delivered in the formats specified in the project brief. The Electronics Engineer shall attend weekly progress meetings held at the Spain Madrid office every Monday at 09:00 CET and shall provide written status reports by Friday 17:00 CET of each working week. Any deviation from the agreed scope must be communicated in writing to the Procurement Department at least five (5) business days prior to the affected milestone date.

Payment for the services rendered under this Purchase Order shall be made in accordance with the following schedule: thirty percent (30%) upon acceptance of the Purchase Order and commencement of work; forty percent (40%) upon delivery and acceptance of the hardware validation report; and the remaining thirty percent (30%) upon final acceptance of all deliverables and issuance of the completion certificate. All invoices shall be submitted to the Accounts Payable department at TECHNOLOGÍA AVANZADA MADRID S.L., Spain Madrid, and shall be paid within thirty (30) calendar days of receipt of a valid invoice. Payment shall be made via bank transfer to the account details provided by the supplier. • 5.1 This Purchase Order is governed by the laws of the Kingdom of Spain, and any disputes arising from its interpretation or execution shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain Madrid.
• 5.2 The Electronics Engineer shall maintain full professional indemnity insurance with a minimum coverage of EUR 1,000,000 per claim for the duration of the engagement. Proof of insurance shall be provided prior to commencement of work.
• 5.3 All intellectual property created by the Electronics Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of TECHNOLOGÍA AVANZADA MADRID S.L. upon full payment of the amounts due.
• 5.4 The Electronics Engineer shall comply with all applicable data protection regulations, including the EU General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 (LOPDGDD), particularly with respect to any personal data processed during the engagement in Spain Madrid.
• 5.5 The supplier shall not subcontract any portion of the work described in this Purchase Order without prior written consent from the Procurement Manager at TECHNOLOGÍA AVANZADA MADRID S.L., Spain Madrid.
• 5.6 In the event of non-performance or defective delivery, the Electronics Engineer shall rectify the deficiency within ten (10) business days at no additional cost to the purchaser. Failure to rectify shall entitle the purchaser to terminate this Purchase Order and claim damages.
• 5.7 This Purchase Order does not constitute a permanent employment relationship. The Electronics Engineer is engaged as an independent professional service provider under the terms of this document.
• 5.8 Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Spain Madrid metropolitan area, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within 48 hours.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The engagement of the Electronics Engineer shall commence on 1 July 2025 and is expected to conclude on 30 September 2025, subject to the project milestones defined in Annex A.
