This Purchase Order authorizes the engagement of the above-named Electronics Engineer to deliver specialized technical services for the design, prototyping, and validation of next-generation industrial control boards. All work shall be performed primarily at the buyer's facility located in Spain Valencia, with the possibility of remote collaboration as agreed upon in writing. The Electronics Engineer shall comply with all applicable Spanish and European Union regulations governing electronic equipment, including the Low Voltage Directive (2014/35/EU) and the Electromagnetic Compatibility Directive (2014/30/EU).

- 30% advance payment (EUR 26,680.50) due within 15 business days of the effective date of this Purchase Order, upon receipt of the signed contract.
- 40% milestone payment (EUR 35,574.00) due upon successful completion and acceptance of the prototype assembly and functional testing (Line Item 04).
- 30% final payment (EUR 26,680.50) due within 30 days of delivery of the complete technical documentation package and final sign-off.
- All payments shall be made via bank transfer to the IBAN specified in Section 2. Invoices must reference this Purchase Order number (PO-2025-VAL-00487) and be issued in accordance with Spanish invoicing regulations (Ley 58/2003 General Tax Law).
- This Purchase Order is governed by the laws of the Kingdom of Spain. Any disputes arising from this engagement shall be resolved by the competent courts of Spain Valencia, Comunitat Valenciana, unless otherwise agreed in writing.
- The Electronics Engineer warrants that all deliverables shall be original work, free from intellectual property infringement, and shall comply with the applicable Spanish and EU technical standards.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary designs, trade secrets, and business information exchanged during the course of this Purchase Order. This obligation shall survive the termination of the contract for a period of five (5) years.
- Intellectual Property: Upon full payment, all intellectual property rights in the deliverables shall vest in Iberia Circuit Solutions S.L. The Electronics Engineer retains the right to reference the project in professional portfolios, subject to prior written approval.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Spain Valencia or elsewhere.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination.
- The Electronics Engineer shall carry professional liability insurance with a minimum coverage of EUR 1,000,000 per claim, valid throughout the project duration, and shall provide a certificate of insurance upon request.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of the Electronics Engineer in Spain Valencia. This document constitutes a binding agreement upon execution by both authorized representatives.
