All items specified in this Purchase Order shall be delivered to the TechnoCore Solutions Electronics Engineering Laboratory located at 42, Galle Road, Colombo 03, Sri Lanka Colombo. The supplier is required to ensure that all equipment arrives in its original packaging with full documentation, including certificates of origin, test reports, and warranty cards. Delivery is expected within thirty (30) calendar days from the date of this Purchase Order. The supplier shall bear all shipping, insurance, and customs clearance costs. Partial deliveries are not permitted unless explicitly approved in writing by the designated Electronics Engineer project lead.

• Payment Method: Bank transfer to the supplier's designated account in Sri Lanka Colombo.
• Advance Payment: 30% (LKR 4,699,350) upon confirmation and acceptance of this Purchase Order.
• Delivery Payment: 60% (LKR 9,398,700) upon successful delivery, inspection, and sign-off by the Electronics Engineer team.
• Retention Payment: 10% (LKR 1,566,450) payable after a 90-day performance and warranty verification period.
• Currency: All payments shall be made in Sri Lankan Rupees (LKR) unless otherwise agreed in a written amendment to this Purchase Order.

The designated Electronics Engineer, Dr. S. Fernando, or his authorized deputy, shall conduct a comprehensive inspection of all delivered items within five (5) business days of arrival at the Sri Lanka Colombo facility. Each item must conform to the specifications outlined in Section 3 of this Purchase Order. Any item found to be defective, damaged, or non-conforming shall be rejected, and the supplier shall replace it at no additional cost within fourteen (14) days. The supplier warrants that all electronic components and instruments are new, unused, and free from manufacturing defects for a minimum period of twenty-four (24) months from the date of delivery.

• This Purchase Order is governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising from this Purchase Order shall be resolved through arbitration in Colombo, Sri Lanka Colombo, in accordance with the Arbitration Act No. 11 of 1995.
• The supplier shall maintain full insurance coverage on all goods in transit until they are received and accepted at the Sri Lanka Colombo delivery address.
• Intellectual property rights related to any custom designs or firmware developed under this Purchase Order shall remain the exclusive property of TechnoCore Solutions (Pvt) Ltd.
• The supplier shall comply with all applicable Sri Lankan import regulations, environmental standards, and occupational safety requirements relevant to electronic equipment.
• Either party may terminate this Purchase Order with thirty (30) days written notice in the event of material breach by the other party.
• All communications regarding this Purchase Order shall be directed to the Procurement Department at TechnoCore Solutions, Colombo, Sri Lanka Colombo.
