1. Description of Services and Scope of Work

This Purchase Order is issued by Nile Valley Industrial Solutions Ltd. to procure the professional services of a qualified Electronics Engineer for the design, installation, testing, and commissioning of industrial control systems at our manufacturing facility located in the Al-Muruj Industrial Zone, Khartoum, Sudan. The Electronics Engineer shall be responsible for the following scope of work:

2. Terms and Conditions
  1. Qualification Requirement: The Electronics Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Electronics Engineering or Electrical Engineering from a recognized institution, along with a valid professional registration with the Sudan Engineers Syndicate (SES) and a minimum of eight (8) years of relevant industrial experience in Khartoum or the wider Sudan region.
  2. Payment Schedule: Payment shall be made in four (4) equal installments of 420,250 SDG each, due within fourteen (14) calendar days following the satisfactory completion and written acceptance of each project milestone as defined in Section 1. The final installment shall be released only after the three-month warranty period has concluded without unresolved critical defects.
  3. Working Location: All services under this Purchase Order shall be performed at the client's facility in the Al-Muruj Industrial Zone, Khartoum, Sudan, unless otherwise agreed in writing. The Electronics Engineer is expected to be on-site for a minimum of six (6) working days per week, Monday through Saturday, from 08:00 to 17:00 local time.
  4. Compliance and Standards: All design, installation, and testing work must comply with the applicable Sudanese national standards (Sudan Standards and Metrology Organization - SSMO), IEC international standards, and any specific regulatory requirements imposed by the Ministry of Industry and Mining, Republic of Sudan.
  5. Insurance and Liability: The Electronics Engineer and the contracting firm shall maintain comprehensive professional indemnity insurance and public liability insurance with a minimum coverage of 5,000,000 SDG throughout the duration of this Purchase Order. All insurance certificates must be submitted prior to the commencement date.
  6. Intellectual Property: All designs, schematics, code, documentation, and technical data produced by the Electronics Engineer in the course of fulfilling this Purchase Order shall become the exclusive property of Nile Valley Industrial Solutions Ltd. upon full payment.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience by the client, the Electronics Engineer shall be compensated for all work satisfactorily completed up to the date of termination, plus a 10% administrative fee on the remaining contract value.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Sudan. Any disputes arising hereunder shall be resolved through arbitration in Khartoum in accordance with the Sudan Arbitration Act, 2010.
  9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or supply chain disruptions affecting the Khartoum region.
Important Note: This Purchase Order is subject to the prior approval of the Nile Valley Industrial Solutions Ltd. Board of Directors and the allocation of funds from the FY2025 Capital Expenditure budget. The Electronics Engineer shall not commence any work until a signed copy of this Purchase Order and the associated Service Level Agreement (SLA) have been exchanged between both parties. All communications regarding this Purchase Order shall be directed to the Procurement Department, Nile Valley Industrial Solutions Ltd., Khartoum, Sudan. 3. Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Electronics Engineer in Khartoum, Sudan.
