The Electronics Engineer engaged under this Purchase Order shall hold a minimum of a Master of Science in Electrical Engineering or an equivalent Swiss-recognized diploma (ETH/EPFL or accredited university in Switzerland Zurich). The engineer must demonstrate a minimum of eight (8) years of professional experience in analog and digital circuit design, embedded systems, and high-frequency signal processing.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Swiss Code of Obligations (OR) and applicable cantonal regulations of Switzerland Zurich. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the Canton of Zürich, Switzerland.
- Payment Terms: Payment shall be made within thirty (30) calendar days of the invoice date via bank transfer to the supplier's account in Switzerland Zurich. Late payments shall accrue interest at the statutory Swiss rate of 5% per annum as defined under Article 104 of the Swiss Code of Obligations.

- Confidentiality: The Electronics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data encountered during the execution of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance & Certification: The Electronics Engineer shall ensure that all deliverables comply with Swiss and European electromagnetic compatibility (EMC) directives, Swiss SEMK type-approval requirements, and all applicable safety standards enforced within Switzerland Zurich.
- Subcontracting: The supplier shall not subcontract any portion of the Electronics Engineer services described in this Purchase Order without prior written consent from the buyer. Any approved subcontractor must also be based in or operate from Switzerland Zurich.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the buyer shall pay for all services rendered by the Electronics Engineer up to the effective date of termination.
- Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Switzerland Zurich.
- Language: This Purchase Order is executed in English. In the event of any translation, the English version shall prevail for all legal and contractual purposes within Switzerland Zurich.
