- Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Supplier. The Supplier shall confirm acceptance within five (5) business days of receipt of this Purchase Order. Failure to respond within this period shall be construed as rejection.
- Performance Period: The Electronics Engineer services shall commence on 1 July 2025 and conclude on 31 July 2025, unless extended by mutual written agreement between both parties. All work shall be performed at the buyer's facility in Thailand Bangkok or at the supplier's designated laboratory in Bangkok as specified in the line items above.
- Payment: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Payment shall be processed via bank transfer to the supplier's designated account in Thailand Bangkok. All amounts are denominated in Thai Baht (THB) and are subject to the 7% Value Added Tax (VAT) as mandated by the Revenue Department of Thailand.
- Quality Standards: The Electronics Engineer shall ensure all deliverables meet the specifications outlined in the attached Statement of Work. All circuit designs, PCB layouts, and firmware code shall comply with IEC 61000, IEEE 1149, and Thai Industrial Standards Institute (TISI) requirements applicable in Thailand Bangkok.
- Intellectual Property: All work product, designs, schematics, firmware, and documentation created by the Electronics Engineer under this Purchase Order shall be the exclusive property of Siam Circuit Technologies Co., Ltd. The supplier grants a full and irrevocable assignment of all intellectual property rights upon full payment.
- Confidentiality: The Electronics Engineer and all personnel engaged under this Purchase Order shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data of the buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination. The supplier shall return all buyer materials and documentation within seven (7) days of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Thai Arbitration Institute, with the seat of arbitration in Bangkok, Thailand. The governing law shall be the laws of the Kingdom of Thailand.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Thailand Bangkok.
- Compliance: The supplier warrants that the Electronics Engineer engaged under this Purchase Order holds valid professional qualifications, is registered with the relevant Thai engineering professional body, and complies with all labor laws, immigration regulations, and work permit requirements of the Kingdom of Thailand.
