The Electronics Engineer shall be responsible for the complete electronic subsystems including but not limited to printed circuit board (PCB) design, embedded firmware development, signal integrity analysis, electromagnetic compatibility (EMC) testing, and integration of sensor arrays for the building management system. All deliverables must comply with the Abu Dhabi Municipal Authority (ADMA) technical standards and the Emirates Authority for Standardization and Metrology (ESMA) regulations applicable within the United Arab Emirates.

1. This Purchase Order is governed by the laws of the United Arab Emirates and the specific regulations of the Emirate of Abu Dhabi. Any disputes arising from this Purchase Order shall be resolved through the Abu Dhabi Commercial Court.
2. The Electronics Engineer engaged under this Purchase Order must hold a valid UAE professional license issued by the Abu Dhabi Department of Economic Development (AED) and possess a minimum of eight (8) years of demonstrated experience in industrial and commercial electronics design.
3. All work performed under this Purchase Order shall be conducted at the project site in Abu Dhabi or at the supplier's registered facility within the United Arab Emirates, unless otherwise agreed in writing by both parties.
4. Payment shall be made within thirty (30) calendar days from the date of invoice receipt, via bank transfer to the supplier's designated account in the United Arab Emirates. Late payments shall accrue interest at the rate of 2% per month as per UAE commercial law.
5. The Electronics Engineer shall maintain full professional indemnity insurance with a minimum coverage of AED 2,000,000, valid throughout the duration of this Purchase Order and the warranty period.
6. Confidentiality: All technical data, schematics, firmware code, and project specifications exchanged under this Purchase Order are classified as proprietary to Gulf Advanced Technologies FZE. The Electronics Engineer and Precision Circuit Solutions LLC shall not disclose, replicate, or use such information for any purpose outside the scope of this engagement without prior written consent.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government directives issued by the Abu Dhabi government, natural disasters, or pandemics affecting operations in the United Arab Emirates.
8. This Purchase Order becomes effective upon signature by both authorized representatives and remains valid until the completion of all line items and the expiration of the warranty period, whichever is later.
9. The supplier shall comply with all labor laws of the United Arab Emirates, including the Federal Decree-Law No. 33 of 2021 on the Regulation of Labour Relations, for any personnel deployed under this Purchase Order in Abu Dhabi.

All deliverables specified in this Purchase Order shall be submitted to the Buyer's project manager at the Al Maryah Island site, Abu Dhabi, United Arab Emirates. Acceptance of each deliverable shall be confirmed in writing within ten (10) business days of submission. Failure to respond within this period shall constitute deemed acceptance. The Electronics Engineer shall remain available for rectification of any non-conformities identified during the acceptance period at no additional cost to the Buyer.
