The Electronics Engineer engaged under this Purchase Order shall perform the following duties within the United Arab Emirates Dubai jurisdiction:

• Design and development of custom printed circuit board (PCB) assemblies for the buyer's IoT sensor network spanning 45 commercial buildings in Dubai.
• Conducting electromagnetic compatibility (EMC) testing and certification in compliance with Emirates Telecommunications Corporation (Etisalat) and the Telecommunications and Digital Government Regulatory Authority (TDRA) standards.
• Providing on-site technical supervision at the DIFC project site, Monday through Friday, 08:00 to 17:00 UAE Standard Time (GST, UTC+4).
• Preparing comprehensive technical documentation, including schematics, Bill of Materials (BOM), and test reports, in both English and Arabic as required by local regulatory authorities in the United Arab Emirates.
• Mentoring and coordinating with the buyer's in-house technical team of six junior engineers based in Dubai.
• Ensuring all electronic components and subsystems comply with the UAE Standards (GSO) and Dubai Municipality electrical safety codes.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and the Dubai International Financial Centre (DIFC) Law No. 1 of 2004, as applicable to the project location in Dubai.
2. Commencement Date: The Electronics Engineer shall commence services on 1 July 2025 and shall continue for a period of six (6) months, subject to mutual written extension.
3. Payment: Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer to the Seller's designated account in the United Arab Emirates within thirty (30) calendar days of invoice receipt. All payments shall be denominated in AED.
4. Visa & Work Permit: The Seller shall ensure that the Electronics Engineer holds a valid UAE residence visa and a professional work permit issued by the Ministry of Human Resources and Emiratisation (MOHRE) prior to commencing on-site work in Dubai. All associated visa and permit costs are included in the unit rates stated above.
5. Confidentiality: The Electronics Engineer shall sign a Non-Disclosure Agreement (NDA) in compliance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and the DIFC Data Protection Law before accessing any proprietary technical data.
6. Insurance: The Seller shall maintain professional indemnity insurance with a minimum coverage of AED 2,000,000 and public liability insurance of AED 1,000,000, valid throughout the duration of this Purchase Order in the United Arab Emirates.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
8. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through arbitration in Dubai under the rules of the Dubai International Arbitration Centre (DIAC).
