This Purchase Order is issued by Meridian Industrial Solutions Ltd. to VoltEdge Engineering Services Ltd. for the provision of a qualified Electronics Engineer to support the design, testing, and commissioning of industrial control systems at our manufacturing facility located in United Kingdom Birmingham. This Purchase Order constitutes a binding agreement between both parties for the scope of work, deliverables, and financial terms outlined herein. The Electronics Engineer engaged under this Purchase Order shall operate exclusively within the premises and operational boundaries of the United Kingdom Birmingham site unless otherwise authorised in writing by the project manager.
The Electronics Engineer appointed under this Purchase Order shall be responsible for the following duties and deliverables at the United Kingdom Birmingham facility:

All services under this Purchase Order shall be performed at the Meridian Industrial Solutions Ltd. premises situated at Unit 14, National Innovation Centre, Birmingham Business Park, United Kingdom Birmingham, B15 2SQ. The Electronics Engineer shall comply with all site safety regulations, including but not limited to the Health and Safety at Work etc. Act 1974, and shall present valid personal protective equipment (PPE) upon arrival. Access to the United Kingdom Birmingham site is restricted to authorised personnel only, and the Electronics Engineer must register with the site security office on each working day.
The Electronics Engineer assigned to this Purchase Order must hold a minimum of a BEng or MEng degree in Electronic or Electrical Engineering from a recognised UK institution. Additionally, the Electronics Engineer must be a registered member of the Institution of Engineering and Technology (IET) or the Institution of Engineering and Technology (IET) and possess a valid City & Guilds 2391 (or equivalent) qualification for work on live electrical installations. A minimum of five (5) years of post-qualification experience in industrial electronics, specifically within the United Kingdom Birmingham manufacturing sector, is required. VoltEdge Engineering Services Ltd. shall provide a copy of the Electronics Engineer's CV, professional indemnity insurance certificate, and right-to-work documentation prior to the commencement date specified in this Purchase Order.
Payment against this Purchase Order shall be made in accordance with the following schedule. Invoices must reference the Purchase Order number PO-2025-BHM-0487 and shall be submitted to the accounts payable department at Meridian Industrial Solutions Ltd., United Kingdom Birmingham, no later than the last working day of each calendar month. Payment will be processed within thirty (30) calendar days of receipt of a valid invoice. The Electronics Engineer's timesheets must be countersigned by the on-site project manager before submission. No payment shall be due for work not explicitly covered under this Purchase Order without prior written variation approval.
- This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in United Kingdom Birmingham.
- The Electronics Engineer shall remain an employee or contractor of VoltEdge Engineering Services Ltd. and shall not be deemed an employee of Meridian Industrial Solutions Ltd. for any purpose.
- All intellectual property, designs, schematics, and documentation produced by the Electronics Engineer in the course of this Purchase Order shall become the sole property of Meridian Industrial Solutions Ltd. upon full payment.
- VoltEdge Engineering Services Ltd. shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the duration of this Purchase Order.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Electronics Engineer shall be required to hand over all work-in-progress documentation and materials to the United Kingdom Birmingham project team.
- The Electronics Engineer shall comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 when handling any personal or sensitive information at the United Kingdom Birmingham site.
- Any variation to the scope, duration, or value of this Purchase Order must be agreed in writing by both parties before additional work commences.
By signing below, both parties confirm that this Purchase Order has been reviewed, understood, and accepted in full. The Electronics Engineer services described herein shall commence on the date specified, and all obligations under this Purchase Order relating to the United Kingdom Birmingham site shall be fulfilled in accordance with the terms set out above.
