The engagement is specifically scoped to the United Kingdom Manchester site, where the Electronics Engineer will work on-site for a minimum of four (4) days per week, with the remaining time allocated to remote design and documentation work. All deliverables must comply with UK Electrical Safety Standards, IEC 61000 electromagnetic compatibility requirements, and the relevant provisions of the UK Supply of Machinery (Safety) Regulations 2008 as applicable in United Kingdom Manchester.

The Electronics Engineer engaged under this Purchase Order shall deliver the following, all to be completed at or in support of the United Kingdom Manchester facility:

• Full schematic design and multi-layer PCB layout for the NX-7000 industrial controller board, including thermal management analysis.
• Firmware development and integration for ARM Cortex-M7 based microcontroller units, with unit-test coverage of no less than 90%.
• Pre-compliance and full EMC testing in accordance with EN 55032 / EN 55035, conducted at the supplier's accredited laboratory in United Kingdom Manchester or an equivalent UK-based facility.
• Production-ready Gerber files, BOM (Bill of Materials), assembly drawings, and test procedures.
• Two (2) formal design review meetings with the Northgate engineering team, to be held on-site in United Kingdom Manchester.
• A final technical report summarising all design decisions, test results, and recommendations for future iterations.

1. This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in United Kingdom Manchester.
2. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the supplier, in accordance with the terms stated in this Purchase Order.
3. The Electronics Engineer assigned to this contract must hold a minimum of five (5) years' post-qualification experience in embedded electronics and must be a member in good standing of the Institution of Engineering and Technology (IET) or the Institution of Engineering and Technology (IET) equivalent body.
4. All intellectual property created by the Electronics Engineer in the course of this engagement shall vest in Northgate Industrial Solutions Ltd. upon full payment. The supplier warrants that no third-party IP is infringed.
5. The supplier shall maintain adequate professional indemnity insurance (minimum £5,000,000) and public liability insurance (minimum £10,000,000) for the duration of the Purchase Order.
6. Any variation to the scope, timeline, or pricing must be agreed in writing via a formal Purchase Order amendment. Verbal instructions do not constitute a valid variation to this Purchase Order.
7. The supplier shall comply with all applicable UK health and safety legislation, including the Management of Health and Safety at Work Regulations 1999, when the Electronics Engineer is on-site at the United Kingdom Manchester premises.
8. Confidentiality: All information exchanged under this Purchase Order is classified as confidential. The supplier shall not disclose any proprietary data to third parties without prior written consent from Northgate Industrial Solutions Ltd.
9. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the supplier shall be compensated for work completed and documented up to the termination date.

This Purchase Order is issued as a binding request for the services described herein. The supplier's acceptance of this Purchase Order shall be confirmed in writing within five (5) working days of the date of issue. Failure to confirm within the stipulated period shall be taken as a declination of this Purchase Order.
