- This Purchase Order (PO-2025-HOU-04471) constitutes a binding agreement between Meridian Industrial Solutions, Inc. (hereinafter "Buyer") and Texas Circuit Design & Engineering Group, LLC (hereinafter "Vendor") for the provision of professional Electronics Engineer services and associated equipment as described in the line items above.
- All services shall be performed at the Buyer's facility located in Houston, Texas, United States, unless otherwise specified in writing. The Electronics Engineer shall comply with all site safety protocols, including but not limited to OSHA regulations applicable to industrial manufacturing environments in the State of Texas.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Vendor. Payment shall be processed via ACH transfer to the bank account designated by the Vendor. Late payments shall accrue interest at a rate of 1.5% per month.
- The Vendor warrants that the Electronics Engineer assigned to this Purchase Order holds a valid Texas Professional Engineer (P.E.) license in the field of Electrical and Electronics Engineering and shall maintain all necessary professional certifications throughout the duration of the engagement.
- All intellectual property, design files, firmware code, and technical documentation produced under this Purchase Order shall become the sole property of Meridian Industrial Solutions, Inc. upon full payment. The Vendor shall execute any additional assignment documents reasonably requested by the Buyer.
- The Vendor shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and shall provide a certificate of insurance to the Buyer prior to commencement of work in Houston.
- Any changes to the scope of work, additional hours, or modifications to the Electronics Engineer's deliverables must be documented in a written Change Order signed by both parties before execution. No additional charges will be recognized without prior written authorization.
- This Purchase Order is governed by the laws of the State of Texas and the United States of America. Any disputes arising hereunder shall be resolved through binding arbitration in Harris County, Houston, Texas, in accordance with the rules of the American Arbitration Association.
- The Vendor shall not subcontract any portion of the Electronics Engineer services without the prior written consent of the Buyer. All personnel working on-site in Houston must complete the Buyer's security and safety orientation before accessing the manufacturing floor.
- This Purchase Order is valid for a period of ninety (90) days from the date of issue. If services have not commenced within this period, the Buyer reserves the right to cancel this Purchase Order without penalty.
