- This Purchase Order (PO-2025-LA-00847) constitutes a binding agreement between Meridian Technical Solutions, Inc. (hereinafter "Buyer") and Pacific Circuit Design & Engineering Group, LLC (hereinafter "Vendor") for the provision of Electronics Engineer services, laboratory equipment, and related technical support as described in the line items above.
- All Electronics Engineer personnel assigned under this Purchase Order shall be physically present at the Buyer's facility located in Los Angeles, California, United States, during the contracted period. Remote work arrangements require prior written approval from the Buyer's Director of Engineering Procurement.
- The Vendor shall ensure that all Electronics Engineer staff members hold valid California professional engineering licenses (PE) or are working under the supervision of a licensed Electronics Engineer registered with the California Board for Professional Engineers, Land Surveyors, and Geologists.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Vendor. Invoices must reference this Purchase Order number (PO-2025-LA-00847) and be submitted electronically to [email protected]. Late payments shall accrue interest at 1.5% per month as permitted under California Commercial Code Section 2304.
- All equipment and materials delivered under this Purchase Order shall be shipped to the Buyer's address in United States Los Angeles, California 90027. Title and risk of loss transfer to the Buyer upon delivery and acceptance at the designated receiving dock. The Vendor is responsible for all shipping, handling, and installation costs within the Los Angeles metropolitan area.
- The Vendor warrants that all Electronics Engineer services shall be performed in a professional and workmanlike manner, in compliance with all applicable federal, state (California), and local (City of Los Angeles) laws, regulations, and industry standards, including but not limited to IEEE, IPC, and FCC guidelines.
- Any changes, modifications, or amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or email communications shall not constitute a valid modification to this Purchase Order.
- The Vendor shall maintain all intellectual property rights generated during the course of this engagement. All designs, schematics, firmware code, and technical documentation produced by the Electronics Engineer team under this Purchase Order shall become the sole property of Meridian Technical Solutions, Inc. upon full payment.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the State of California, United States. Any disputes arising from or related to this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
- The Vendor shall comply with all applicable United States export control regulations, including the Export Administration Regulations (EAR) administered by the Bureau of Industry and Security, for any equipment or technology transferred under this Purchase Order.
- This Purchase Order shall remain in effect for a period of twelve (12) months from the date of issue, unless terminated earlier by either party with thirty (30) days' written notice. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.
