- Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the vendor. The vendor must return a signed copy of this Purchase Order to the Buyer within five (5) business days of receipt.
- Performance Location: All services rendered under this Purchase Order shall be performed by the designated Electronics Engineer at the vendor's office located in United States Miami or at the Buyer's facility in Miami, Florida, as mutually agreed upon in writing.
- Timeline: The Electronics Engineer shall complete all deliverables within ninety (90) calendar days from the date of Purchase Order acceptance. Milestone payments shall be due upon completion of each phase as outlined in the attached Statement of Work.
- Payment: Payment shall be made via wire transfer to the vendor's designated bank account within thirty (30) days of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Florida Statute Chapter 668.
- Intellectual Property: All designs, schematics, firmware code, and documentation produced by the Electronics Engineer under this Purchase Order shall become the sole property of Atlantic Circuit Solutions, LLC upon full payment. The vendor retains no rights to reproduce or distribute the work without written consent.
- Compliance: The Electronics Engineer shall ensure all work complies with applicable United States federal regulations, including but not limited to FCC Part 15, UL 62368-1, and RoHS directives. All testing shall be conducted in the United States Miami area or at an accredited U.S. laboratory.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order. This obligation shall survive termination of the agreement for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes shall be resolved through binding arbitration in Miami-Dade County, United States Miami, in accordance with the rules of the American Arbitration Association.
- Insurance: The vendor shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence throughout the duration of this Purchase Order.
