Scope of Work & Professional Requirements

This Purchase Order is issued by Meridian Technologies Group, Inc. to Precision Circuit Design LLC for the engagement of a qualified Electronics Engineer to perform comprehensive hardware design, analysis, and validation services. The Electronics Engineer shall possess a minimum of ten (10) years of professional experience in mixed-signal circuit design, printed circuit board (PCB) layout, and embedded systems development. All work shall be performed in accordance with industry-standard engineering practices and shall be conducted at the Buyer's facility located in United States New York City, or at such other locations within the United States New York City metropolitan area as mutually agreed upon in writing. The Electronics Engineer is expected to maintain all necessary professional certifications, including but not limited to PE (Professional Engineer) licensure in the State of New York, and shall comply with all applicable federal, state, and municipal regulations governing electronic design and manufacturing within the United States New York City jurisdiction.

Terms and Conditions

1. Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Seller. The Seller must return a signed copy of this Purchase Order to the Buyer within five (5) business days of receipt. Failure to respond within this period shall constitute a declination of this Purchase Order.
2. Performance Period: The Electronics Engineer shall commence work no later than June 23, 2025, and shall complete all deliverables by August 15, 2025. Any extension of the performance period must be approved in writing by the Buyer's Procurement Director.
3. Payment Schedule: Payment shall be made in three (3) equal installments: 33% upon project commencement, 33% upon completion of Phase II deliverables, and 34% upon final acceptance. All invoices shall be submitted to the Buyer's Accounts Payable department in United States New York City and shall be paid within thirty (30) days of receipt.
4. Intellectual Property: All designs, schematics, layouts, firmware code, and documentation produced under this Purchase Order shall be the sole and exclusive property of Meridian Technologies Group, Inc. The Electronics Engineer and Precision Circuit Design LLC hereby assign all intellectual property rights to the Buyer upon full payment.
5. Confidentiality: The Electronics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Compliance: All services rendered under this Purchase Order shall comply with the New York State Labor Law, the New York City Administrative Code, and all applicable federal regulations including the Federal Communications Commission (FCC) rules. The Electronics Engineer shall ensure that all designs meet the applicable standards for electronic equipment operating within the United States New York City area.
7. Insurance: The Seller shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 in the aggregate, as well as workers' compensation insurance as required by New York State law. Certificates of insurance shall be provided prior to commencement of work.
8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising hereunder shall be resolved in the state or federal courts located in New York County, United States New York City.
10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, acts of government, or pandemics affecting the United States New York City area.
