This Purchase Order is issued by Bay Area Circuit Innovations, Inc. to engage the services of a qualified Electronics Engineer through Meridian Electronics Consulting Group. - Scope of Work: The Electronics Engineer engaged under this Purchase Order shall perform all duties in accordance with the Statement of Work (SOW) attached hereto as Exhibit A. The Electronics Engineer must hold a valid California Professional Engineer (P.E.) license in the field of Electrical or Electronics Engineering, or be working under the direct supervision of a licensed P.E. registered with the California Board for Professional Engineers, Land Surveyors, and Geologists.
- Place of Performance: Primary work shall be conducted at the Buyer's facility located in United States San Francisco, California. Remote work may be performed at the Vendor's office in United States San Francisco or at the Electronics Engineer's designated home office, provided all data security protocols specified in Exhibit B are maintained.
- Payment Schedule: Invoices shall be submitted monthly on the last business day of each calendar month. Payment is due within thirty (30) days of receipt of a valid invoice. All payments shall be made in United States Dollars via ACH transfer to the account designated by the Vendor. Late payments shall accrue interest at the rate of 1.5% per month as permitted under California Commercial Code Section 2304.
- Intellectual Property: All work product, designs, schematics, code, documentation, and deliverables created by the Electronics Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of Bay Area Circuit Innovations, Inc. The Electronics Engineer hereby assigns all rights, title, and interest in such work product to the Buyer upon creation.
- Compliance with Local Regulations: The Vendor and the Electronics Engineer shall comply with all applicable laws and regulations of the State of California, the City and County of United States San Francisco, and the United States federal government. This includes but is not limited to the San Francisco Municipal Code, California Labor Code, OSHA regulations, and the California Environmental Quality Act (CEQA) where applicable to any physical prototyping or laboratory work.
- Confidentiality: The Electronics Engineer shall maintain strict confidentiality of all proprietary information, trade secrets, and technical data disclosed by the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered through the effective date of termination. In the event of termination for cause, the Vendor shall be liable for any documented damages incurred by the Buyer.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising hereunder shall be resolved through binding arbitration in United States San Francisco, California, in accordance with the rules of the American Arbitration Association.
- Insurance: The Vendor shall maintain, at its own expense, commercial general liability insurance of not less than $2,000,000 per occurrence, professional liability (errors and omissions) insurance of not less than $1,000,000, and workers' compensation insurance as required by California law. Certificates of insurance shall be provided to the Buyer prior to the commencement of services.
- San Francisco Local Business Requirements: The Vendor acknowledges that it is registered to conduct business in the City and County of United States San Francisco and holds a valid San Francisco Business Registration Certificate. The Vendor shall comply with all San Francisco local hiring and workforce development ordinances applicable to contracts exceeding $100,000 in value.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Electronics Engineer professional services in United States San Francisco, California.
