The Electronics Engineer is expected to hold a valid professional license issued by the Colegio de Ingenieros de Venezuela (CIV) and to possess a minimum of eight (8) years of documented experience in embedded systems, signal processing, and industrial automation.

4.1 This Purchase Order is subject to the Commercial Code of the Bolivarian Republic of Venezuela and applicable regulations of the Superintendencia Nacional para la Defensa de los Derechos Socioeconómicos (SUNDDE).

4.2 The Electronics Engineer shall perform all duties in compliance with the Venezuelan Electrical Safety Standards (COVENIN) and the technical norms established by the Comisión Nacional de Telecomunicaciones (CONATEL) where applicable.

4.3 All work deliverables under this Purchase Order shall be completed at the buyer's premises in Venezuela Caracas unless otherwise agreed in writing. The Electronics Engineer is responsible for obtaining any necessary work permits or site access authorizations required by the facility management in Venezuela Caracas.

4.4 The Electronics Engineer warrants that all designs, firmware, and documentation delivered under this Purchase Order shall be original work, free from intellectual property infringement, and shall be the sole property of the buyer upon full payment.

4.5 The Electronics Engineer shall maintain professional liability insurance with a minimum coverage of USD 100,000 for the duration of the engagement in Venezuela Caracas.

4.6 Any change in scope, schedule, or deliverables must be documented through a formal Change Order amendment to this Purchase Order, signed by both parties.

Payment shall be made in United States Dollars (USD) via bank transfer to the account designated by the Electronics Engineer. The schedule is as follows: 30% upon signing of this Purchase Order; 40% upon successful completion of Phase 2 (PCB prototyping); 20% upon completion of Phase 4 (commissioning in Venezuela Caracas); and 10% upon expiration of the post-commissioning support period. Invoices must be submitted to the buyer's accounts payable department in Caracas, Venezuela, with a minimum of ten (10) business days' notice.

All physical deliverables (prototype boards, documentation binders, firmware media) shall be delivered to the buyer's receiving office at Av. Francisco de Miranda, Torre Empresarial, Piso 12, Caracas, Venezuela. Acceptance shall be confirmed in writing by the buyer's project manager within five (5) business days of delivery. Failure to issue a written objection within this period shall constitute deemed acceptance.

The Electronics Engineer acknowledges that, in the course of performing services under this Purchase Order in Venezuela Caracas, they will have access to proprietary technical data, trade secrets, and confidential business information belonging to the buyer. The Electronics Engineer agrees to maintain strict confidentiality and shall not disclose, reproduce, or use such information for any purpose other than the fulfillment of this Purchase Order, both during and for a period of three (3) years following its completion.

Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the buyer shall compensate the Electronics Engineer for all work satisfactorily completed up to the termination date. In the event of termination for cause (material breach, failure to meet milestones, or loss of professional license), the terminating party shall provide a written statement of grounds, and the Electronics Engineer shall have ten (10) business days to cure the deficiency before termination becomes effective.

This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela. Any dispute arising from or in connection with this Purchase Order shall be resolved through binding arbitration administered by the Centro de Arbitraje y Mediación de la Cámara de Comercio, Industria y Servicios de Caracas, located in Venezuela Caracas. The arbitration shall be conducted in Spanish, and the award shall be final and enforceable in any court of competent jurisdiction in Venezuela.
