OF SERVICESThis Purchase Order is issued by Harare Industrial Technologies (Pvt) Ltd to procure the professional services of a qualified Electronics Engineer and associated technical support team for the design, development, testing, and commissioning of industrial control systems at our manufacturing facility located in Zimbabwe Harare. The Electronics Engineer shall be responsible for the complete lifecycle of the project, including schematic design, printed circuit board (PCB) layout, firmware development, hardware integration, and final system validation. All work shall be performed in accordance with the Zimbabwe National Standards (ZS) and applicable International Electrotechnical Commission (IEC) standards. The Electronics Engineer must hold a valid professional registration with the Engineering Institution of Zimbabwe (EIZ) and possess a minimum of ten (10) years of documented experience in industrial electronics and embedded systems engineering.

- Acceptance: This Purchase Order constitutes a binding offer. The Supplier, Moyo & Associates Electronics Engineering (Pvt) Ltd, shall confirm acceptance in writing within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Payment Terms: Payment shall be made in three (3) tranches: 30% upon signed acceptance of this Purchase Order, 40% upon successful completion of hardware integration and bench testing (Line Items 01–04), and 30% upon final commissioning, training, and handover of all documentation at the Zimbabwe Harare facility. All payments shall be made via bank transfer to the Supplier's designated account in United States Dollars (USD) or its equivalent in Zimbabwe Gold (ZiG) at the prevailing Reserve Bank of Zimbabwe (RBZ) rate on the date of invoice.
- Quality & Compliance: The Electronics Engineer and all associated personnel shall ensure that all deliverables comply with the specifications outlined in Annexure A (attached separately) and with all applicable regulations of the Zimbabwe National Standards Authority (ZANAS) and the Ministry of Industry and Commerce, Zimbabwe Harare. Non-conforming work shall be rectified at the Supplier's sole cost.
- Intellectual Property: All designs, schematics, firmware source code, PCB layouts, and documentation produced under this Purchase Order shall become the exclusive property of Harare Industrial Technologies (Pvt) Ltd upon full payment. The Electronics Engineer shall assign all intellectual property rights in writing as part of the final deliverables.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and proprietary information exchanged in connection with this Purchase Order. This obligation shall survive for a period of three (3) years following project completion.
- Health, Safety & Environment: The Electronics Engineer and all supporting staff shall comply with the Occupational Safety and Health Act [Chapter 14:07] of Zimbabwe and the site-specific safety protocols of the Zimbabwe Harare manufacturing facility. Appropriate personal protective equipment (PPE) shall be worn at all times during on-site work.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, currency restrictions imposed by the Reserve Bank of Zimbabwe, or acts of war. Affected parties shall notify the other within forty-eight (48) hours of the occurrence.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration in Zimbabwe Harare in accordance with the Arbitration Act [Chapter 7:15] of the Laws of Zimbabwe. The language of arbitration shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. The courts of Zimbabwe Harare shall have exclusive jurisdiction over any matters not referred to arbitration.
- Amendments: No amendment, variation, or modification of this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
