This Purchase Order is issued by the Kabul Environmental Development Authority (hereinafter referred to as the "Buyer") to GreenEarth Environmental Consulting (Pvt.) Ltd. (hereinafter referred to as the "Seller") for the procurement and engagement of a qualified Environmental Engineer to deliver comprehensive environmental assessment, monitoring, and remediation advisory services within the Afghanistan Kabul metropolitan area and its surrounding districts. This Purchase Order constitutes a binding contractual agreement upon countersignature by both parties and shall be governed by the terms and conditions set forth herein.
The Seller shall provide a fully qualified and experienced Environmental Engineer (minimum 10 years of post-graduate experience in environmental sciences, water resource management, air quality assessment, and soil contamination remediation) to perform the following duties in Afghanistan Kabul:
- Conduct a comprehensive Environmental Impact Assessment (EIA) for the proposed Kabul River Basin Rehabilitation Project covering the districts of Kabul, Bagrami, and Charsadda.
- Design and implement a continuous air quality monitoring network across 12 designated stations in the Afghanistan Kabul urban core, including measurement of PM2.5, PM10, SO₂, NO₂, CO, and O₃.
- Perform groundwater and surface water quality sampling and laboratory analysis at 35 locations along the Kabul River and its tributaries.
- Develop a Soil Contamination Remediation Plan for the former industrial zones in the industrial area of Afghanistan Kabul, specifically the areas surrounding the old tannery and textile processing facilities.
- Prepare a Waste Management Strategy and Solid Waste Characterization Report for the Kabul municipal waste collection system.
- Provide monthly technical reports, quarterly progress presentations, and a final comprehensive Environmental Engineering Report to the Buyer.
- Train a team of 15 local Afghan environmental technicians in monitoring protocols, data interpretation, and report writing.

- Commencement and Duration: The Environmental Engineer shall commence duties in Afghanistan Kabul no later than 1 August 2025. The total contract duration is twelve (12) months, extendable by a further six (6) months upon mutual written agreement.
- Payment Terms: Payment shall be made in four (4) equal quarterly installments of USD 111,425.00 each, due within thirty (30) days of the Buyer's receipt and acceptance of the corresponding quarterly progress report. A mobilization advance of 10% (USD 44,570.00) shall be released within 15 days of Purchase Order acceptance, secured by a bank guarantee.
- Performance Security: The Seller shall furnish a Performance Bank Guarantee in the amount of 10% of the total contract value (USD 44,570.00) from an internationally recognized bank, valid for the duration of the contract plus 90 days.
- Qualifications of the Environmental Engineer: The assigned Environmental Engineer must hold a minimum of a Master's degree in Environmental Engineering or a closely related discipline, possess a valid professional engineering license, and demonstrate a minimum of ten (10) years of relevant experience in developing-country environmental projects. The Buyer reserves the right to reject any proposed candidate who does not meet these criteria.
- Compliance with Local Law: All services rendered under this Purchase Order in Afghanistan Kabul shall comply with the Environmental Protection Law of the Islamic Republic of Afghanistan, the Kabul Municipal Regulations, and all applicable national and local environmental standards.
- Intellectual Property: All reports, data, plans, and deliverables produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Seller shall not reproduce or distribute any portion thereof without prior written consent.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to armed conflict, natural disasters, government sanctions, or epidemics affecting the Afghanistan Kabul region. Affected parties must notify the other within 72 hours of the occurrence.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be referred to arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Doha, Qatar. The language of arbitration shall be English.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice in the event of material breach by the other party that remains unremedied after a 30-day cure period. Upon termination, the Seller shall be compensated for all services rendered up to the termination date.
- Insurance: The Seller shall maintain comprehensive professional liability insurance, personal accident insurance, and medical evacuation insurance for the Environmental Engineer stationed in Afghanistan Kabul throughout the contract period.

1. This Purchase Order supersedes all prior quotations, letters of intent, and preliminary agreements between the parties regarding the Environmental Engineer engagement in Afghanistan Kabul.
2. The Environmental Engineer's visa, work permit, and security arrangements in Afghanistan Kabul shall be coordinated jointly by the Buyer (through the Ministry of Interior) and the Seller.
3. All communications under this Purchase Order shall be in English. Technical reports may include supplementary text in Dari or Pashto for local stakeholder distribution.
