The Environmental Engineer engaged under this Purchase Order must hold a valid registration with Engineers Australia and possess a minimum of ten (10) years of professional experience in environmental consulting within the Australia Sydney metropolitan region. All deliverables must comply with the Australian Standards AS 2600 series and the guidelines issued by the NSW Department of Planning, Housing and Infrastructure.

4.1 This Purchase Order constitutes a binding agreement between GreenHarbor Environmental Solutions Pty Ltd (the "Purchaser") and ClearWater Environmental Consulting Group Pty Ltd (the "Supplier") for the provision of Environmental Engineer services in Australia Sydney.

4.2 The Environmental Engineer shall maintain all necessary professional indemnity insurance with a minimum coverage of AUD 10,000,000 per occurrence and public liability insurance of AUD 20,000,000 for the duration of the engagement in Australia Sydney.

4.3 All work performed under this Purchase Order shall comply with the Protection of the Environment Operations Act 1997 (NSW), the Water Management Act 2000 (NSW), and the relevant Australian Standards applicable to environmental engineering practice.

4.4 The Supplier shall submit all deliverables to the Purchaser's project office located at Level 12, 200 George Street, Australia Sydney, NSW 2000, no later than the dates specified in the project schedule attached as Schedule A to this Purchase Order.

4.5 Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law.

4.6 The Purchaser reserves the right to vary the scope of Environmental Engineer services by written amendment to this Purchase Order, subject to mutual agreement on adjusted pricing.

4.7 This Purchase Order is governed by the laws of the State of New South Wales, Australia. Any disputes arising shall be resolved through the NSW Civil and Administrative Tribunal or the Supreme Court of New South Wales, Australia Sydney.

This Purchase Order is valid for acceptance within fourteen (14) calendar days of the date of issue. Acceptance shall be confirmed in writing by the Supplier's authorised representative. Failure to respond within the stipulated period shall be deemed a declination of this Purchase Order.
