- Scope of Work: This Purchase Order authorizes the engagement of qualified Environmental Engineer professionals to perform the services described in the line items above. All Environmental Engineer personnel must hold a valid CREA (Conselho Federal de Engenharia e Agronomia) registration and a minimum of five (5) years of professional experience in environmental consulting within Brazil Brasília or equivalent metropolitan areas.
- Service Location: All services under this Purchase Order shall be performed at the designated project sites within Brazil Brasília, Federal District, and its immediate surrounding areas as specified in the project scope. The Environmental Engineer shall report to the TerraVerde project office located at Av. das Nações, 1500, Asa Sul, Brazil Brasília.
- Payment Terms: Payment shall be made via bank transfer (TED/PIX) within thirty (30) calendar days from the receipt of a valid invoice (Nota Fiscal) and the corresponding monthly progress report submitted by the Environmental Engineer. Invoices must reference this Purchase Order number (PO-2025-BR-04871).
- Compliance: The Environmental Engineer and the vendor shall comply with all applicable federal, state, and municipal environmental regulations in Brazil Brasília, including but not limited to the Brazilian Environmental Crimes Law (Lei 9.605/1998), the National Environmental Policy (Lei 6.938/1981), and all CONAMA resolutions in force.
- Confidentiality: All data, reports, and proprietary information generated during the execution of this Purchase Order shall remain the exclusive property of TerraVerde Environmental Consulting S.A. The Environmental Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Brazil Brasília.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for services rendered up to the termination date, as documented by the Environmental Engineer's final progress report.
- Insurance and Liability: The vendor shall maintain professional liability insurance and workers' compensation coverage for all Environmental Engineer personnel engaged under this Purchase Order. Minimum coverage shall be R$ 2,000,000.00 per occurrence.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Brazil Brasília, Federal District, in accordance with the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Conciliação e Arbitragem do Brasil).
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction of the courts of Brazil Brasília, DF.
