This Purchase Order is issued by EcoVale Infraestrutura e Meio Ambiente S.A. (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of specialized professional services rendered by a qualified Environmental Engineer (hereinafter referred to as the "Service Provider") for the execution of environmental compliance, impact assessment, and sustainability consulting activities. All services under this Purchase Order shall be performed, delivered, and concluded within the metropolitan region of Brazil São Paulo, in strict accordance with the environmental regulations established by the São Paulo State Environmental Agency (CETESB), the Brazilian Federal Environmental Institute (IBAMA), and all applicable municipal ordinances of the City of São Paulo.
The Environmental Engineer engaged under this Purchase Order shall hold a valid professional registration with the Brazilian Council of Engineering and Agronomy (CREA-SP) and shall possess a minimum of ten (10) years of documented professional experience in environmental engineering, environmental impact studies (EIA/RIMA), waste management planning, water resource protection, and industrial emissions control within the state of São Paulo.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, specifically the Brazilian Civil Code (Law No. 10,406/2002) and the Brazilian Environmental Law (Law No. 6,938/1981 – National Environmental Policy). Any disputes arising from this Purchase Order shall be resolved by arbitration in the city of São Paulo, Brazil, in accordance with the rules of the CAMARB (Brazilian Arbitration Chamber).
- Performance Location: All services rendered by the Environmental Engineer under this Purchase Order shall be executed exclusively within the geographic boundaries of Brazil São Paulo, including the metropolitan region and the state of São Paulo, unless otherwise agreed in writing by both parties.
- Payment Schedule: Payment shall be made via bank transfer (TED/DOC) to the account designated by the Service Provider. Invoices shall be submitted monthly, and payment shall be due within thirty (30) calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate of 1% per month plus a 2% penalty, as stipulated by Brazilian commercial law.
- Professional Qualifications: The Environmental Engineer assigned to this Purchase Order must maintain an active CREA-SP registration throughout the entire contract period. The Buyer reserves the right to request proof of registration and professional insurance (RCP – Civil Liability Insurance) at any time.
- Intellectual Property: All reports, studies, plans, and technical documents produced by the Environmental Engineer in the course of fulfilling this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Service Provider shall not reproduce, distribute, or use such documents for any other client without prior written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, environmental information, and business details exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect obligations accrued prior to the effective date of termination.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, or regulatory changes enacted by Brazilian federal, state, or municipal authorities in Brazil São Paulo.
- Compliance with Environmental Regulations: The Environmental Engineer warrants that all services delivered under this Purchase Order shall comply with all current and future environmental legislation applicable in Brazil São Paulo, including but not limited to CONAMA resolutions, CETESB technical standards, and the São Paulo State Environmental Code.
- Warranty: The Service Provider warrants that all deliverables under this Purchase Order shall be free from technical errors and omissions for a period of twelve (12) months from the date of acceptance by the Buyer.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Environmental Engineer for environmental services in Brazil São Paulo. This Purchase Order constitutes a binding agreement between the parties upon execution.
