Terms and Conditions of this Purchase Order
- Commencement and Duration: The Environmental Engineer shall commence all services no later than July 1, 2025, within the jurisdiction of Canada Montreal. The total project duration shall not exceed twenty-four (24) months from the date of commencement, unless otherwise extended in writing by mutual agreement of both parties.
- Qualifications: The Environmental Engineer engaged under this Purchase Order must hold a valid Professional Engineer (P.Eng.) licence issued by the Ordre des ingénieurs du Québec (OIQ) and possess a minimum of ten (10) years of demonstrated experience in environmental consulting within the Canada Montreal metropolitan area. All sub-consultants must meet equivalent qualification standards.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-MTL-ENV-00472) and include the vendor's QST registration number. Milestone payments shall be issued upon written acceptance of deliverables by the Montreal Metropolitan Environmental Authority.
- Regulatory Compliance: All work performed by the Environmental Engineer must strictly adhere to the Loi sur la qualité de l'environnement, the Loi sur les compétences municipales, federal regulations under the Canadian Environmental Protection Act, 1999 (CEPA), and all applicable bylaws of the City of Canada Montreal. Non-compliance shall constitute a material breach of this Purchase Order.
- Insurance: The vendor shall maintain, at its own expense, professional liability insurance of no less than $5,000,000 CAD per occurrence and general liability insurance of no less than $2,000,000 CAD, with the Montreal Metropolitan Environmental Authority named as an additional insured. Certificates of insurance must be provided prior to commencement of work in Canada Montreal.
- Confidentiality: All data, reports, soil samples, and environmental monitoring results generated under this Purchase Order are the exclusive property of the Montreal Metropolitan Environmental Authority. The Environmental Engineer shall not disclose any proprietary information to third parties without prior written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the vendor shall be compensated for all services rendered and documented expenses incurred up to the effective date of termination within Canada Montreal.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable in Canada Montreal. Any disputes shall be resolved through arbitration in Canada Montreal in accordance with the Code of Civil Procedure of Quebec.
- Language of Deliverables: All reports, plans, and documentation produced by the Environmental Engineer shall be submitted in both French and English, in accordance with the Charter of the French Language (Bill 101) as applicable to professional services in Canada Montreal.
